• ipoteche o pignoramenti;
• problemi nella provenienza dell'immobile;
• successioni non correttamente definite;
• vincoli o diritti di terzi;
• precedenti atti o contratti che possono incidere sulla disponibilità del bene;
• problematiche relative alla titolarità;

✅ decidere consapevolmente se procedere;
✅ concordare preventivamente come risolvere il problema;
✅ stabilire tempi e condizioni;
✅ prevedere specifiche clausole contrattuali;

REAL ESTATE TRANSACTIONS: IS IT ADVISABLE TO SIGN A PURCHASE PROPOSAL BEFORE KNOWING IF THERE ARE LEGAL ISSUES WITH THE PROPERTY?

From a prudent standpoint, the answer should be: it is better not to.

In practice, checks on the property's legal status are often carried out by the notary only a few days or weeks before the final closing.

But is that really the best time to discover whether problems exist?

In my view, a proper approach to the transaction should involve conducting legal checks on the property before it is put on the market—and certainly before the buyer and seller sign a purchase proposal.

🔎 What might a preliminary check reveal?

For example:

• mortgages or liens;
• issues regarding the property's chain of title;
• unresolved inheritance matters;
• third-party restrictions or rights;
• prior deeds or contracts affecting the availability of the asset;
• ownership-related issues;
• other legal complications that could prevent or hinder the sale.

The problem arises when these issues come to light only after the proposal has been signed.

By that stage, the parties may already be mutually committed, having incurred costs, paid deposits, and scheduled the closing.

If the problem is easily resolved, the situation can be managed.

But what happens when a solution is impossible or takes months to finalize?

Tensions can arise between buyer and seller, leading to demands for the return of funds, disputes, claims for compensation, and—in the most complex cases—litigation.

⏳ A preliminary check completely changes the scenario.

If issues are identified before the proposal is signed, the parties can:

✅ make an informed decision on whether to proceed; ✅ agree in advance on how to resolve the issue;
✅ establish timelines and conditions;
✅ include specific contractual clauses;
✅ avoid committing to a sale that could subsequently stall.

In other words, legal due diligence should not be viewed merely as a final check before the closing, but rather as a risk-prevention tool.

For the seller, it means identifying potential obstacles to the sale beforehand.

For the buyer, it means knowing exactly what is being purchased before entering into a contractual commitment.

👉 The time before signing is often the most critical moment for verification.

Bardi & Partners Law Firm assists sellers and buyers with preliminary due diligence and the legal management of real estate transactions, including complex deals and cases involving foreign clients purchasing property in Italy.

BUYING PROPERTY IN ITALY: WHY FOREIGN BUYERS SHOULD INVOLVE A SPECIALIZED REAL ESTATE LAW FIRM FROM THE VERY BEGINNING

Buying a property in Italy may appear straightforward: find the right property, make an offer, sign a preliminary agreement and proceed to completion.

In practice, particularly for an international buyer, previous legal issues connected to the property can unexpectedly prevent the transaction from being completed.

A recent case handled by our Firm provides a clear example.

A foreign client had found a property in Italy that he wanted to purchase. However, the transaction became blocked because a preliminary sale agreement dating back approximately seven years was still registered against the property, preventing the seller from proceeding with the sale as intended.

Our Firm was instructed to investigate the situation, reconstruct the legal history and identify the appropriate legal solution to remove the obstacle and allow the transaction to move forward.

The situation was ultimately resolved.

But there is an important lesson.

👉 Had the client instructed our Firm before committing to the purchase, the issue could have been identified at an earlier stage, potentially avoiding additional costs, delays and unnecessary complications.

For an international buyer, therefore, legal due diligence should not be considered something to deal with only after choosing a property. It should be one of the first steps before entering into binding commitments.

Before purchasing property in Italy, it is important to investigate, among other matters:

• ownership and title history
• mortgages, seizures and adverse registrations
• previous preliminary agreements and third-party rights
• restrictions and encumbrances
• cadastral and planning compliance
• the completeness and consistency of the documentation
• the terms of the offer and preliminary agreement
• any legal issues that could prevent or delay completion

A property may look perfect. But before buying it, you need to know that it can actually be acquired safely and on the agreed terms.

Bardi & Partners Law Firm assists Italian and international clients with real estate transactions throughout Italy, from preliminary legal due diligence through to completion.

BUYING A PROPERTY IN ITALY? DON’T UNDERESTIMATE THE RISKS.

Buying a home in Italy can be an exciting experience — but for a foreign buyer, the process can be far more complex than it may initially appear.

Different rules, documents, cadastral and urban planning requirements, preliminary agreements, negotiations, taxes, notarial procedures and language barriers can create unexpected difficulties.

⚠️ Even a small legal or technical issue can result in months of delays and significant financial costs.

A property may look perfect, but before signing an offer or paying a deposit, it is essential to verify that everything is legally and technically in order.

This is why having an experienced Italian law firm by your side from the very beginning of the transaction can make a significant difference.

At Bardi & Partners Law Firm, we assist international clients throughout the purchase process in Italy, including:

✔️ Legal due diligence on the property
✔️ Verification of ownership and title
✔️ Checks on mortgages, liens and restrictions
✔️ Review of cadastral and urban planning documentation
✔️ Negotiation and review of offers and preliminary agreements
✔️ Coordination with surveyors, notaries and other professionals
✔️ Assistance through completion and post-purchase matters

Buying a property in Italy should be an investment — not a source of unexpected problems.

Before signing, paying a deposit or committing to a property, make sure you have an Italian lawyer protecting your interests.

SELLING YOUR HOME PRIVATELY: CHECKS SHOULD BE DONE BEFORE THE OFFER

You have found a potential buyer.

You have discussed the price.

Everything seems ready to close the deal.

This is precisely the moment when you should not rush.

Before signing a purchase offer, it is advisable to understand the property's actual legal, documentary, and technical status.

The offer should come after the checks, not before.

WHAT IS IMPORTANT TO VERIFY?

A law firm specializing in real estate law, together with qualified technical professionals, can handle the verification of:

🔹 property ownership and chain of title;

🔹 any mortgages, liens, restrictions, or other encumbrances;

🔹 land registry documentation;

🔹 zoning and building compliance status;

🔹 any irregularities or issues requiring rectification;

🔹 documentation needed for the final closing;

🔹 any factors that could impact the negotiation or the final deed of sale.

WHY DO THIS BEFOREHAND?

Because when the seller signs an offer, they are already making commitments to the buyer.

It is therefore crucial to know beforehand:

what is being sold, the property's current status, and what conditions can realistically be guaranteed.

A preliminary check allows you to:

✔️ identify potential issues early on;

✔️ address them before committing to the buyer;

✔️ negotiate with greater awareness;

✔️ draft an offer that aligns with the property's actual status;

✔️ reduce the risk of future disputes and complications.

CAN YOU BUY PROPERTY IN ITALY AND RENT IT OUT?

For many foreign buyers, yes.
But buying the property is only the beginning.
If you intend to generate rental income, you should first understand:
🏡 What type of rental you want to operate
📋 Which rules apply
📍 Whether local regulations affect the property
🧾 Your tax obligations
💶 Your real operating costs
🔑 How the property will be managed
And remember:
Gross rental income is NOT the same as profit.
Before buying, calculate:
Rental income – taxes – expenses – management – maintenance – vacancy periods = realistic return
Most importantly:
Don't assume you can legally operate the same rental activity simply because another property nearby does.
Check the rules before you buy.
Our Studio assists international clients considering the purchase of Italian real estate for personal use or investment purposes.
We can assist in analysing the legal aspects of the purchase and the intended use of the property, so that you can make your investment decision with a clearer understanding of the relevant legal issues.

Before buying for rental income, make sure your business plan is legally achievable.

🔹 cosa stai effettivamente accettando;

🔹 quali obblighi assumi nei confronti dell’acquirente;

🔹 quali sono i termini della vendita;

🔹 come viene disciplinata la caparra;

🔹 cosa succede in caso di mancato rispetto degli accordi;

🔹 quali condizioni devono essere soddisfatte prima del rogito;

proposta → trattativa → preliminare → verifiche → assistenza rogito → assistenza post-rogito.
