▶ The Bank Froze Our Business Account with No Explanation Under an Account Freezing Order - What Are Our Immediate Legal Options?

Arriving at the office to discover your company accounts frozen without prior notice is an existential commercial threat. Payroll stalls, supplier payments bounce, and operations freeze overnight.

Under Part 5 of the Proceeds of Crime Act 2002 (POCA), law enforcement agencies (such as the NCA, HMRC, or City of London Police) can obtain an Account Freezing Order (AFO) from a Magistrates’ Court ex parte - meaning without your knowledge or presence.

Because the bank is legally barred from tipping off under anti-money laundering rules, front-line staff will give you no explanation.

However, silence does not mean you are without immediate legal remedies:

🔹 Your legal counsel must formally demand a copy of the sealed court order, the application notice, and the supporting witness statements from the investigating agency. You cannot defend what you have not seen.

🔹 Under Section 303Z5 of POCA, you can urgently apply to the court to vary the AFO to release frozen funds for essential business overheads - including payroll, critical supplier invoices, commercial rent, and reasonable legal fees.

A robust evidential bundle showing an auditable commercial paper trail, verified contracts, and a legitimate source of funds can force an early discharge of the order before forfeiture proceedings begin.

Waiting passively for the police or HMRC to conclude their investigation often results in business insolvency before the court date arrives. Speed of intervention is decisive.

🔹 Did You Know That Registering Your Company with Companies House Provides Zero Legal Protection Against Trademark Infringement?

Incorporating an entity at Companies House reserves your company name on the public register. Nothing more.

It does not grant you intellectual property rights; it does not stop a competitor from copying your brand, and crucially, it does not stop you from being sued.

Thousands of UK founders fall into this exact trap each year:

🔹 Companies House only verifies that an identical legal entity name does not already exist. It conducts zero checks against existing trademarks registered with the UK Intellectual Property Office (UKIPO).

▶ My Sponsor's Licence Was Revoked, and I Never Got a Curtailment Letter - Am I an Overstayer?

Not automatically - but silence from the Home Office is not the same as being safe.

🔹 When a sponsor's licence is revoked, sponsored visas are normally curtailed to 60 days (or less, if your original visa expires sooner).

The catch: under the Immigration (Leave to Enter and Remain) Order 2000, the Home Office only has to send that notice to your last known address - even an old work email counts. If it never reaches you, the clock can still be running.

And Section 3C won't save you by default. It only protects you if you've already submitted a valid application before your curtailed leave expires - not just because a letter hasn't arrived yet.

If your visa's expiry date passes while you're waiting, you become an overstayer, with no extra 60 days added on top.

In UK employment law, what happens in practice always overrules what is written in a contract. ⚖

You can label a contractor a self-employed freelancer and have them invoice through an LTD. However, if your daily communication mirrors the control of an employer, employment tribunals and HMRC will look straight through the agreement.

Informal operational control frequently triggers employment status reclassification:

🔹 Direct messaging assigning specific working hours, immediate turnaround mandates, or daily task management establishes legal control - a core hallmark of employment under the Ready Mixed Concrete framework.
🔹 Insisting that a specific individual must carry out the tasks, rather than accepting a genuine right of substitution, invalidates genuine self-employed status.
🔹 Adding contractors to internal team chats, requiring them to attend internal all-hands meetings, or managing their holiday availability signals operational integration.

The Commercial Fallout:
If reclassified as a worker or employee, the individual gains statutory rights retrospectively: up to two years of backdated holiday pay, mandatory pension contributions, and rights against unfair dismissal. Concurrently, HMRC can pursue your company for unpaid PAYE and National Insurance contributions under IR35 / off-payroll rules.
