The Letter of Intent is not just a preliminary step. It is where leverage, economics, and deal certainty begin to take shape.

I was grateful to share this conversation with (Viktor Lobov) and for the clarity and insight he brought to the discussion. As an Adjunct Professor at the University of Miami School of Law, I am always interested in helping business owners and advisors better understand the points in a transaction that matter most early on.

The full Q&A is now available on the Novela Law website news page.

Novela Law was proud to sponsor this event hosted by at ICA Miami, bringing together voices from across the art and collecting community. Alevon and Novela Law share the same Founder, reflecting a shared commitment to the art world and the people who shape it.

Our art law practice advises clients on sophisticated matters involving significant artworks, including loans secured by art collateral, purchase and sale transactions, and international escrow transactions. We represent collectors, lenders, galleries, museums, and estates in complex art-related matters.

In M&A, smart deals are shaped long before anyone presents an offer.

We discuss with a former British intelligence officer and Founder of NEON CENTURY to unpack what we’re seeing at Novela Law: how public data, behavioral signals, and digital exposure shape leverage and risk before contracts are signed.

Five takeaways:

• Small public details can materially shift how a deal is viewed
• A detailed profile can be built without hacking
• The data room is incomplete by design
• Seller readiness is a real closing risk
• Privacy must be structured before the purchase

I was pleased to participate in Michael Ashley’s Forbes piece (link in bio) on whether AI can help unmask the true creators behind historically attributed paintings, and more broadly what that means for authenticity in today’s market.

From my perspective as an art lawyer, the most important point is not “AI replaces experts.” It is that AI adds a powerful new lens, one that can surface patterns humans miss and force harder questions about attribution, provenance, and what we treat as settled history. If AI also reduces the cost and time of analysis, a lot more works will be evaluated and authenticated that would otherwise never justify the expense. That can make the market healthier overall.

This also has implications at ,where we enable the rental of museum works and museum-level works from private collections. That same shift reinforces a simple truth: the market will reward platforms and institutions that create high levels of trust.

We are pleased to participate in Michael Ashley’s Forbes piece on whether AI can help unmask the true creators behind historically attributed paintings, and more broadly what that means for authenticity in today’s market.

As an art lawyer, the most important point is not “AI replaces experts.” It is that AI adds a powerful new lens, one that can surface patterns humans miss and force harder questions about attribution, provenance, and what we treat as settled history.

If these tools keep improving, the practical impact is straightforward: lower cost, more transparency, and a higher premium on well-documented works.

This also has implications at , which enables the rental of museum works and museum-level works from private collections. That same shift reinforces a simple truth: the market will reward platforms and institutions that treat provenance and diligence as core infrastructure.

Teaching AI-savvy law students has made one thing obvious: junior lawyers are still essential, but the job has changed.

AI can draft fast. It can summarize fast. It can be “as good as a junior” on entry-level tasks.
What it cannot do reliably is judgment, prioritization, risk-sensitivity, and clean final work product without a sharp human operator.

If you are a junior lawyer, your edge is becoming the person who can steer AI, validate it, and deliver work that a partner can trust with minimal revision.

In 2000, one unexpected day working alongside famed attorney Bob Shapiro completely changed how I think about client crises, leadership, and trust.

This short story shares what I learned, watching him take charge under intense pressure, and how those lessons now shape the way I practice law at Novela Law.
