Thailand Moves to Tighten Rules on Nominee Shareholders

Thailand’s Department of Business Development is preparing new corporate registration measures aimed at preventing the use of Thai nominee shareholders by foreign investors.

The regulation is expected to take effect 1 April 2026 as part of Thailand’s continued enforcement under the Foreign Business Act B.E. 2542 (1999).

Key points:

🔹 New verification procedures may apply when companies amend structures to introduce foreign partners or directors.

🔹 Registrars may require personal appearance of shareholders or directors to confirm that his participation is not as a nominee.

🔹 Thai shareholders may be required to demonstrate financial capacity through bank statements verifying the origin of funds.

🔹 Authorities are strengthening cooperation with the Anti-Money Laundering Office (AMLO) and expanding scrutiny of corporate registrations.

Businesses with foreign participation should review shareholder structures, funding arrangements, and documentation to ensure compliance with evolving regulations.
