Two preconditions for the valid transfer of shares in Poland

Winning in England does not automatically put money in your hands in Poland.

Since 1 July 2025, the 2019 Hague Judgments Convention has provided a route for recognising and enforcing qualifying UK judgments in participating jurisdictions, including Poland.

But it is not a universal solution.

The Convention contains jurisdictional, procedural and timing requirements. It also excludes several areas, including insolvency, intellectual property, competition, privacy, defamation and arbitration-related matters.

That is why enforcement belongs at the beginning of a cross-border dispute—not merely after judgment.

The forum, claim, defendant and location of recoverable assets must form one strategy.

The seller appears in the KRS.

That still does not prove the seller owns the shares.

In a Polish sp. z o.o., valid title must be traced through the full history: previous transfers, corporate approvals, consent requirements, pre-emption rights and contractual restrictions.

One broken link can determine whether the seller can transfer what the buyer is paying for.

Dziś obchodzimy Dzień Solidarności i Wolności.

Wolności nikt nie daje. Trzeba się o nią upomnieć. Razem.

MiCA applies across the EU. Poland entered July without a functioning domestic licensing route.

Since 1 July, the transitional period for Polish virtual-currency businesses has ended. Previous VASP registration is no longer enough to provide crypto-asset services under the new framework.

For Polish providers, that creates a difficult position: MiCA authorization is required, while firms unable to obtain it domestically may need to consider authorization in another EU jurisdiction and the possibility of passporting services into Poland.

For businesses operating in this market, the question is no longer whether MiCA is coming.

The regulation is here. The domestic licensing infrastructure is the missing piece.
