In Polish M&A, “procedural traps” are not just commercial risks; they are formal legal requirements whose breach can render a share transfer void or ineffective, or even trigger personal liability for the buyer or the management board.
Because many of these requirements are purely formal (notarisation, entries in registers, consents, filings), they are easy to overlook in cross‑border transactions where parties tend to focus on price and warranties.

Two words decide who carries the risk between signing and closing: locked box.

Or two others: completion accounts.

A locked box fixes the price at a past balance sheet date. From that date the value is the buyer's, so the deal turns on one thing: leakage, the cash that quietly leaves the business before closing.

Completion accounts settle up afterwards on real cash, debt and working capital. More accurate, but slower, and every number becomes a negotiation.

With Polish deal volume climbing in 2026, parties are negotiating over exactly this.

For years, a B2B contract in Poland felt like a safe way to hire. That changed on 8 July 2026.

The Labour Inspectorate can now look past the label and reclassify a B2B or civil-law contract as employment when the relationship shows the real marks of a job: subordination, fixed hours, the company controlling how and where the work is done, and a contractor who carries no real business risk.

It comes as an administrative decision. Your only route to challenge it is the labour court.

The label will not protect you. The substance of the relationship will decide it.

Audit your B2B arrangements now, before an inspector does it for you.

How long does it take to receive an inheritance in Poland following a person’s death? What are the key stages of the process? To what extent may an executor lawfully withhold distributions from beneficiaries? These are fundamental questions that frequently arise in the aftermath of a family member’s or close associate’s passing.

Under Polish law, the administration and distribution of an estate is rarely immediate. In practice, beneficiaries should expect the process to take several months (except where the notarial route can be used and all heirs agree) and, in more complex or contested matters, potentially two or three years - particularly where a foreign will governs the succession.

A clear understanding of the procedural framework and the parties’ respective rights and obligations is essential to ensure that the estate is administered efficiently and in accordance with the law.

Od 8 lipca 2026 r. zaczynają obowiązywać przepisy wzmacniające uprawnienia Państwowej Inspekcji Pracy w zakresie kontroli modeli współpracy opartych na umowach cywilnoprawnych i B2B. Najistotniejsza zmiana polega na tym, że PIP uzyskuje możliwość stwierdzania, iż dana relacja w rzeczywistości stanowi stosunek pracy, jeżeli sposób jej wykonywania odpowiada cechom etatu.

W praktyce oznacza to większe ryzyko dla modeli, w których osoba świadcząca usługi formalnie działa na postawie umowy B2B ale faktycznie pracuje pod kierownictwem, w określonych godzinach, w stałym miejscu i w ramach struktury organizacyjnej pracodawcy. Nowe przepisy mogą skutkować decyzją administracyjną oraz koniecznością dostosowania zatrudnienia, a w razie sporu także kontrolą sądową.
