⚖️ A Quiet Rewrite With Real Consequences

Virginia’s Stock Corporation Act has changed, and the updates could affect how your business handles equity and shareholder agreements.

Under Senate Bill 479, boards can delegate certain authority to issue shares and equity awards, while shareholder agreements can now remain in effect beyond the previous 10-year limit.

If your bylaws or shareholder agreements were drafted under the old rules, it may be time to take another look.

Is your AI-assisted legal work protected from disclosure? The answer isn’t as simple as you might think.

Recent cases in Texas, New York, and federal court reached different conclusions about AI-generated or AI-assisted materials, highlighting an important takeaway for Virginia businesses: similar rules don’t always lead to similar outcomes.

Our latest Legal Insight breaks down what these cases mean, why state law matters, and what Virginia business owners should consider when using AI for legal issues.

Estate planning isn’t just for the wealthy, and it’s not something you have to put off until later in life. Having the right documents in place can help you prepare for the unexpected and give you greater control over what happens when you can’t make decisions for yourself.

A will, power of attorney, advance medical directive, and, when appropriate, a trust can help make sure your wishes are known and your loved ones are prepared for the future.

Taking the time to plan now can provide clarity, peace of mind, and direction for the people who matter most.

When an LLC member walks away, stops answering emails, and disappears from the day-to-day operations, that doesn’t necessarily mean they’ve given up their ownership interest.

Without a clear withdrawal process, buyout formula, and valuation mechanism in the operating agreement, the remaining owner could be left facing a difficult and costly situation later.

Watch the latest video to see why good LLC governance plans for the exit before someone decides to walk away.

Running a nonprofit often means making decisions that impact your organization, your community, and the people you serve. But what happens when a board member’s personal or financial interests enter the picture?

Consider these scenarios:
- A board member owns a business that wants to provide services to the nonprofit.
- A nonprofit is considering hiring a vendor who happens to be a board member’s family member.
- A board member could personally benefit from a decision involving the organization’s funds.

Do these situations automatically create a conflict of interest? Not necessarily. But they may require disclosure, careful review, and appropriate action under your nonprofit’s policies and applicable law.

At Dunlap Law, we help nonprofits navigate governance questions and develop practices that support transparency, accountability, and their mission.

Virginia’s Nonstock Corporation Act is getting a major update effective January 1, 2027— and nonprofit boards have time to prepare.

The new law brings changes involving derivative proceedings, director removal, bylaws, and more. Now is the time to review your governance documents, indemnification provisions, and board procedures before the new rules take effect.

Your business name. Your logo. Your tagline. Your signature product or service. These are more than marketing tools, they can become valuable intellectual property assets. But simply using a name or logo doesn’t necessarily give you the strongest legal protection.

Before you invest even more into building your brand, a trademark attorney can help you determine whether your mark is available, identify potential conflicts, choose the appropriate protection, and navigate the registration process with the USPTO.

Don’t wait until someone challenges your brand to start protecting it. Let Dunlap Law help you build a stronger foundation for what you’ve worked so hard to create.
