A lot of business owners think forming an LLC means their brand name is protected. It doesn't, and this mix up trips up more people than you'd expect.

An LLC is a state filing. It sets up how your business is taxed and shields your personal assets if something goes wrong. That's it. It has nothing to do with whether you legally own your brand name.

Trademark protection is a completely separate system, and it's the only thing that actually gives you rights to your name. You can have an LLC in your state and still lose your name to someone else who trademarks it first, even if you were using it before them.

Two different systems, two different jobs. Knowing the difference now can save a lot of pain later.

Another company just registered that name as a federal trademarkโ€”and now their growth stops at the edge of the town they started in.

This happens more than people think.

Having a great business name isn't the same as owning it legally.

Without a federal trademark, your rights may only exist in the area where you're already doing business. Someone else can file first, even if you had the name years before them, and they can lock up everywhere else you'd want to grow into. ๐Ÿ”’

Can I tell you the sentence I hear all the time?

"I thought I was protected."

They had the LLC.

They bought the domain.

They grabbed the Instagram handle.

Sometimes they were even using the name for years.

None of that automatically gives you trademark rights.

It's one of the biggest misunderstandings I see from online business owners.

A business owner spends years building their brand. Then one day, a cease-and-desist letter shows up โ€” because someone else trademarked the name first.

Now they're stuck choosing between rebranding everything or fighting a legal battle they never saw coming.

Here's the part that gets me: it's almost always avoidable. ๐Ÿ˜ฎโ€๐Ÿ’จ

An LLC doesn't protect your name. Neither does your domain, your social handles, or the fact that you used the name first. In the U.S., whoever files for the trademark usually has the stronger legal claim.
