Congratulations to all graduating seniors and their parents! Whatever your next steps are, whether it be college, the military, or the workforce… be sure to add these documents to your checklist! The Health Care Proxy and Durable Power of Attorney are important documents that give family the ability step in during a medical or financial emergency.

Thank you, and good luck to all of our high school grads that came in this summer to sign their legal documents. We have kids heading off to colleges, universities, and the armed forces.

It is our first-year attempting a pollinator habitat in the unkept landscape by our parking lot. Take a look at our beautiful friend here, the American Copper Butterfly, or Lycaena Plaeas.
These butterflies thrive in the Northeast, since lighter-colored butterflies may be more vulnerable to rising temperatures. Hopefully with more time, this guy will have some friends!

Are you up to date with the new BOI reporting requirement for corporations and LLC’s?

On February 17th, 2025, The U.S District Court for the Eastern District of Texas ruled on the Corporate Transparency Act, (CTA). The ruling reinstated the FinCEN’s Beneficial Ownership Information Reporting Rule. The CTA was originally passed in 2020, in an effort to strengthen the anti-money laundering regime by enhancing transparency of small and large businesses. The recent court order reinstates that most reporting companies must file BOI reports by March 21st, 2025.

The BOI reporting framework is part of a regulatory initiative aimed at increasing transparency and accountability within business entities by establishing a mechanism for organizations to provide data to federal authorities.

Domestic companies that are required to report BOI’s include: Corporations, Limited Liability Companies (LLCs), or any similar entity that has been created with a secretary of state or similar office under the law of state, or Indian tribe.

A beneficial owner is any individual who, directly or indirectly, either:

Holds “substantial control” over a reporting company, or
Owns or controls at least 25% of the ownership interests of a reporting company

You exercise substantial control when you direct, determine, or exercise substantial influence over important decisions of the reporting company. This includes any senior management of the reporting company, regardless of formal title or if they have no ownership interest in the reporting company.

Whether you choose to engage our services or manage these requirements independently, as an LLC owner, you are legally obligated to fulfill these compliance duties. Failure to comply with these federal and state mandates can result in significant penalties, including fines, loss of good standing, or even dissolution of your LLC.

Through this process, and other mandatory corporate formalities, it is essential to stay diligent and organized to ensure accuracy and compliance.
