Corporate authority is not a technicality.
In Badlisyah v MARA Corporation, the Court of Appeal considered what happens when a CEO makes major appointments, incurs substantial financial commitments and departs from the company’s approval structure.
The message for directors and senior management is clear: good intentions cannot replace proper authority, formal approval, and full disclosure.
