The S-corp election is probably the most misunderstood tool in small business tax planning.

It's not a separate entity. It's a federal tax status you elect on top of an LLC or C-corp. Pay yourself a reasonable salary, take the rest as distributions -- the distribution side avoids self-employment tax.

The catch in California: S-corps still owe 1.5% franchise tax on net income. The federal savings is real. California takes a piece back.

California law says only licensed physicians can own a medical practice. So how does any outside capital ever enter a healthcare business?

The answer is the MSO-PC model -- two entities, one architecture. The Professional Corporation stays physician-owned and handles everything clinical. The Management Services Organization can be owned by anyone and handles everything else: billing, marketing, HR, facilities, technology. The two are connected by a Management Services Agreement that defines the scope of each side and keeps the clinical firewall in place.

It's not a workaround. It's the legally recognized structure California built for this exact problem.

California tightened its Corporate Practice of Medicine framework effective starting this 2026.

SB 351 targets private equity and hedge fund involvement in physician practices specifically. PE groups cannot interfere with physician clinical judgment, control hiring of clinical staff, or dictate coding and billing decisions. Non-compete and non-disparagement clauses in PE-backed MSO agreements are void. The California Attorney General has enforcement authority to pursue injunctive relief against non-compliant structures.

If your practice has an MSO relationship with any outside investor, your management services agreement needs to be reviewed against these new requirements.
