Naming the Right Defendants: An Early Decision That Can Save Months of Litigation

One of the first strategic decisions in any commercial foreclosure is identifying everyone who should be made a party. That list often extends well beyond the borrower. Depending upon the circumstances,
it may include:

• Individual guarantors
• Junior mortgage holders
• Judgment creditors
• UCC lienholders
• Tenants claiming possessory interests
• Unknown occupants
• Unknown spouses
• Heirs or successors
• Dissolved entities
• LLC managers or members

Missing a necessary party can require amended pleadings, additional service, delayed hearings, or even supplemental litigation after judgment.

Conversely, adding parties without evaluating their legal interest may unnecessarily increase the cost and complexity of the case.

Every foreclosure begins with a simple question:

Who has an interest in the collateral that may be affected by the judgment?

Answering that question correctly at the outset often saves substantial time later in the litigation.

Five Documents Every Commercial Lender Should Review Before Filing Foreclosure

Every commercial foreclosure file contains dozens - sometimes hundreds - of documents. Yet five documents often determine how efficiently the case proceeds.

1. The Promissory Note - Confirm ex*****on, endorsements, allonges, and any modifications affecting the debt.

2. The Mortgage - Review the collateral description, recording information, assignments, and any amendments.

3. The Loan Modification Documents - A modification may change payment terms, maturity dates, interest rates, notice provisions, or default remedies.

4. The Guaranty -
Many commercial recoveries ultimately depend upon properly drafted guaranty provisions and the lender's ability to enforce them after judgment.

5. The Payment History and Business Records -
These records frequently become the foundation for affidavits supporting summary judgment and the lender's damages.

When these documents are organized and analyzed before litigation begins, counsel is better positioned to anticipate defenses rather than simply reacting to them. Commercial foreclosure litigation is often won through preparation - not surprise.
