Confusing a securities investigation with a filed lawsuit can create costly mistakes for investors.

An investigation notice is not the same as an active court case. If investors assume a recovery is already in motion, they may fail to preserve records, miss the 60-day Lead Plaintiff window if a lawsuit is filed, or wait too long to understand their rights.

Knowing the difference helps investors act with clarity instead of waiting passively.

A securities investigation and a filed class action lawsuit are not the same thing.

A securities investigation is a law firm’s private review of whether a viable case exists. A filed lawsuit is a formal complaint in court that starts a real legal process. Confusing the two can cause investors to wait passively for a recovery that may never come or miss important deadlines.

Understanding the difference can help investors protect their rights and act at the right time.

BREAKING NEWS
Third Circuit Revives Ocugen Securities Class Action

Bronstein, Gewirtz & Grossman, LLC is pleased to share a significant appellate development in the securities class action against Ocugen, Inc. BG&G represents one of the lead plaintiffs in the litigation.

On September 30, 2026, the U.S. Court of Appeals for the Third Circuit vacated the dismissal of the case and remanded it to the District Court for further proceedings.

In its decision, the Third Circuit rejected the longstanding Oran–Burlington rule, which permitted courts to treat the absence of a sustained stock-price decline following a corrective disclosure as conclusive evidence that an alleged misstatement was immaterial.
The Court reaffirmed that materiality requires a fact-specific assessment of what information would matter to a reasonable investor—an important development for investors pursuing securities fraud claims.

BG&G is proud to represent a lead plaintiff in this important litigation and to work alongside co-counsel in protecting the interests of investors.

If you believe your losses may be tied to securities fraud, the first step is to document what you held and when.

Gather account statements, review purchase dates and prices, and check whether a securities investigation or class action has already been filed.

Deadlines can matter, including claim deadlines and Lead Plaintiff windows, so acting promptly is important.

You do not need to be a large institutional investor to pursue recovery, and there is no cost to investors unless successful in a contingency fee-based securities class action.

IRA and 401(k) losses may both raise securities fraud questions, but the legal analysis is not always the same.

In an IRA, the account holder is generally the investor of record and may be able to file directly. In a 401(k), the plan usually holds the shares, which can change who brings the claim and how recovery may flow back to participants.

Understanding that distinction can help investors ask the right questions and preserve their rights.
