Small Business owners sometimes treat their LLC like a force field — form it once, never think about it again.

For most small businesses, that's actually fine. Connecticut courts are more forgiving on formalities than people expect; you don't need board meetings or resolutions for every decision to keep your protection intact.

What actually opens the door to personal liability is different. In a 2019 case, Connecticut's Appellate Court broke through the LLC protections to get to the individual owner (called piercing the veil) not because of one bad fact, but because of a pattern — multiple related entities, overlapping control, undercapitalized shells, shared operations, liabilities shifted around to keep creditors from ever collecting. No single piece would have sunk them. Together, it looked like a business structure built to avoid debts, not run one.

The line isn't about how "formal" your LLC is. It's about whether it's real.
