A 90-minute working session designed for business owners who want to be proactive, not reactive.

Here's what we cover:

▪️ Your business structure. Is your entity actually protecting you? Is your ownership documented in a way that holds up? Do you have an operating agreement that reflects how your business actually runs today?

▪️Your contracts and agreements. What are you signing, and what are you asking others to sign? Are your client agreements, vendor contracts, and employment arrangements doing what you think they're doing?

▪️Your real estate exposure. If you have a commercial lease or holdings, we'll look at the clauses that matter most — assignment, renewal, personal guarantees, and what happens when things change. And we will calendar your important deadlines!

▪️Your regulatory landscape. For operators in cannabis, liquor, natural medicine, or other regulated industries — where are your compliance gaps? What are you assuming is fine that might not be? Have you had a visit from regulators that may have revealed operational concerns?

▪️Your succession and ownership picture. What happens to this business if something happens to you? Does your estate plan account for what you've built?

At the end of the session, you'll have a prioritized list of the three to five things that actually need your attention — and a clear picture of what's genuinely at risk versus what you can stop worrying about.

I had coffee recently with a fellow entrepreneur — a consultant who helps businesses reduce errors, improve training, and run more efficiently. We come from completely different professional worlds, but we kept finishing each other's sentences.

The problem, we agreed, arrives too late.

By the time most business owners call a professional for help, the cost has already been accumulating for months. The compliance exposure. The lease they signed without understanding. The partnership that was never documented. The operational breakdown that could have been caught in year one. They're not calling for help with a problem. They're calling for help with the wreckage.

And here's the part that stuck with me after that conversation: the work we each do is most valuable before that point. Which means we're both trying to reach business owners who don't yet know they need us.

I've been thinking about how to name that out loud — because I think a lot of you reading this blog are exactly the people I'm describing.

"On Thursday, April 23, 2026, the Attorney General of the United States issued a final order and rule titled “Schedules of Controlled Substances: Rescheduling of Food and Drug Administration Approved Products Containing Ma*****na and Products Containing Ma*****na Subject to a Qualifying State issued License from Schedule I to Schedule III; Corresponding Change to Permit Requirements” (Rule). The Ma*****na Enforcement Division (MED) is issuing this bulletin to support a shared understanding on the details of the order and corresponding Rule.

This is an evolving matter the MED expects will involve additional guidance from federal agencies, new or updated federal agency processes, and other federal proceedings. The MED will provide updates and additional guidance as more information becomes available."

The legal gray area around h**p-derived cannabinoids may be getting a lot smaller.

The DEA has once again signaled that cannabinoids produced through chemical conversion or lab synthesis — even when derived from h**p — may fall outside the protections of the 2018 Farm Bill.

For operators, manufacturers, retailers, and investors, this is more than a policy debate. It’s a compliance and risk-management issue that could reshape significant portions of the cannabinoid marketplace.

The disconnect between federal interpretation, state laws, and industry practices continues to create uncertainty for businesses trying to operate in good faith.

If your company is involved in h**p-derived products, now is the time to revisit formulations, labeling, sourcing, contracts, and regulatory exposure.
