The book was published today and available for purchase online. The Halsbury's Laws of Singapore is the leading encyclopedia of law and its volumes are widely quoted by lawyers in legal submissions and cited by the courts.

Our directors, Mr Mark Lee and Ms Sarah Yeo, spoke at the Chambers and Partners Virtual Forum (UK / Singapore) on the topic of:

“Corporate Governance or Trojan Horse; Revisiting the Concepts of Shareholder Passivity and Activism in a New World Order”

During the session, our directors brought their audience through the following, including:-

1. The roles and influence of a shareholder and how these have morphed over the years, if at all

2. An examination of the rights that a Singapore shareholder would have in the context of a Singapore incorporated company, including

a. a statutory right to have the company’s constitution observed;

b. rights to requisition, attend meetings and vote;

c. limited rights to information;

d. litigation (focusing on section 216 and section 216A, Companies Act (Cap. 50))

e. reserve management powers.

3. Corporate law's central dilemma of the separation of ownership (shareholders) and control (board).

4. The underpinnings of corporate governance, and their wider practical implications for investor / shareholders, professional directors, legal practitioners and general counsels.

5. The duties of a director and specifically whose interests should a board be obliged to consider / safeguard (i.e. all stakeholders?, just the financial interests of shareholders?, etc).

6. Examining the suggestion of shareholders being “passive” property owners through the case studies of the ExxonMobil debacle (in the US), the Fujitec Ltd – Oasis Management dispute (in Japan) and USP Group Limited [2023] SGHC 106 (in Singapore).

7. Examining the extent (if at all) of how advances in digital communication have increased shareholder mobilisation and the likelihood of litigation where there are failures of governance.

In a recently concluded trial in the Singapore High Court, our directors, Mr Mark Lee and Ms Sarah Yeo, represented a founder (minority shareholder) in a shareholder oppression claim and derivative action against the corporate group’s majority bloc. The matter traversed a spectrum of issues, including:-

1. The importance of not only convening timely Annual General Meetings but also presenting shareholders with financial statements that actually give a true and fair view of the company’s financial position and performance;

2. The implications (if any) of a company / board choosing to not prepare its group consolidated financial statements (including those of its foreign subsidiaries) on an assurance basis.

3. The complications of an individual holding cross-directorships across entities spread across multiple jurisdictions and, in particular, how a director should navigate his/her concurrent duties owed to both the parent and subsidiary companies.

4. The diversion of business opportunities by an errant majority bloc and the forensic / evidential challenges to establish the same.

5. The distinctions between personal wrongs suffered by the oppressed shareholder qua shareholder and corporate wrongs committed against the company.

6. The applicability (if at all) of a time bar, acquiescence and/or laches defence to a section 216 (minority oppression) and section 216A action (derivative action).

Notably, throughout this proceedings, multiple attempts were also made by the corporate group’s majority bloc to strike out (for various reasons) our client’s claim but which have all not succeeded.

We are pleased to share that Ms Sarah Kogan, Chambers Asia-Pacific Research Director, will be hosting the forum.

Ms Kogan is Chambers’ Research Director for Asia-Pacific. Prior to joining Chambers Ms Kogan worked for a number of years in television production as a researcher and associate producer, making programmes for the BBC, Channel 4 and other major broadcasters.

Ms Kogan graduated from Oxford University with a BA in English Language and Literature, before later completing the Graduate Diploma in Law at College of Law.
