In intellectual property (IP) law, a licensing agreement📝 is a contract where the IP owner grants another party the right to use or commercialise their IP assets in exchange for payment or other benefits.

👉🏾In this context, the IP owner is known as the licensor, while the other party is known as the licensee.

Patents, trademarks, copyrights, and trade secrets are all forms of intellectual property that can be licensed. 💯

Licensing intellectual property enables IP owners to monetize their assets, expand their market reach, and collaborate with other businesses. 😃

Vicarious liability is the principle that holds one (superior) party responsible for the actions of another (subordinate)party. 🧏🏾‍♀️🧏🏾

This is because of the relationship 🤝 that both parties share and the influence that the superior party is believed to wield over the actions of the subordinate party.

Vicarious liability usually applies within the context of an employer-employee relationship or a principal-agent relationship. 👥

So, an employer or a principal might be held vicariously liable for an accident caused by a negligent employee driving a company vehicle in the course of his official duties or agent driving a vehicle being used to perform the wishes of the principal.👨🏽‍⚖️

🗣️However, there are exceptions to this principle.

For example, if an employee's or agent's actions are completely outside the scope of their employment or contract, the employer or principal might not be vicariously liable.

👉🏾Also, if an employer has taken reasonable steps to prevent such actions, he might not be held vicariously liable.

Did you know that the National Film and Video Censors Board(NFVCB) is the body set up to regulate the films and video industry in Nigeria? 🤔

Established in 1993, the board has the power💪🏽 to classify all films and videos,🎞️ whether imported or locally produced.

It also has the duty of registering 📝all films and video outlets across the country.

Additionally, it grants licenses for the exhibition of films and videos and prescribes safety precautions to be observed in premises licensed for the purposes of film and video exhibitions.

To sum it up, it performs any other function that will enable it to fully discharge 💯 its legal duties in the film and video industry.

Proportionality, as a general legal principle, requires that the means used to achieve a goal are not more harmful or restrictive than necessary, and that the consequences of the action are not disproportionate to the objectives pursued. 🧏🏾‍♀️🧏🏾

This principle is applied in various areas of law, including constitutional law, international humanitarian law (Laws of War), and criminal law, to ensure fairness and justice. ⚖️

📍In Constitutional Law, it is used to examine whether a restriction on fundamental rights is justified and ensures that the restriction is necessary and equal to the aim pursued.

📍In International Humanitarian Law, it ensures that military attacks are not excessive in relation to the expected military advantage, thus limiting the harm suffered by civilians.

📍In Criminal Law, proportionality ensures that the severity of a punishment fits the crime committed by an offender.

Proportionality aims to strike a balance between different interests, ensuring that the pursuit of one interest does not unduly harm another. 💯

Did you know that contracts usually bear clauses that relieve parties from performing their duties when circumstances beyond their control occur? 🤔

Such clauses are called Force Majeure clauses. 👈🏾

They exist to protect parties from potential legal and financial repercussions when it becomes impossible or impractical to perform their contractual obligations. 🤷🏾‍♀️

Force majeure events can include natural disasters, war, strikes, riots, epidemics, pandemics, or government actions. ☹️

If such events occur, a Force majeure clause may allow for a suspension of obligations, extension of deadlines, or ultimately, a termination of the contract if the event continues for an undefined period.

Force majeure clauses are crucial in contracts, particularly those involving long-term commitments or operations in areas prone to natural disasters or instabilities of any kind.

The doctrine of Ultra Vires is a simple and powerful principle of law. ⚖️

Latin for "beyond the powers," it means that an action or decision is invalid if it is taken by a corporation (company) or public body without the legal backing to do so, based on the corporation's founding documents or public body's enabling laws.

Actions deemed ultra vires are considered unenforceable and have no legal effect. ❌❌

So, if the officers of a company act beyond the scope of powers outlined in the company's founding documents or government officials take actions that are not enabled by the relevant law(s), such acts will be regarded as ultra vires.

The doctrine of ultra vires helps to uphold the principles of rule of law, public interest, and good governance within and outside the corporate world. 👍🏾
