The estate of former Zappos CEO Tony Hsieh has become the center of an unusual probate dispute after a previously unknown will surfaced more than four years after his death. Hsieh died in 2020, and his estate had been administered on the understanding that he died without a will. The newly surfaced document, reportedly dated 2015, could affect the distribution of an estate valued at more than $500 million.

The dispute has since deepened, with Hsieh’s family challenging the document and alleging that it is a forgery. Questions surrounding its origin, signatures, witnesses, and authenticity remain part of the ongoing legal proceedings.

Having a trust does not automatically mean a will is no longer necessary. A trust generally controls assets that have been properly transferred into it, while a will can address assets that remain outside the trust and can name an executor to handle the estate.

In many estate plans, the two documents are designed to work together. A “pour-over” will, for example, may direct certain remaining assets into a trust after death. A will can also address important matters that a trust may not cover, including naming guardians for minor children.

This Make-A-Will Month, it is worth reviewing whether your will, trust, beneficiary designations, and other estate planning documents still work together and reflect your current wishes.

If it has been a while since your estate plan was reviewed, this may be a good time to take another look.

FinCEN Eliminates Corporate Transparency Act Reporting Requirements for Most U.S. Businesses

Good news for business owners and many estate planning clients.

The U.S. Treasury Department's Financial Crimes Enforcement Network (FinCEN) has issued a final rule exempting U.S. companies and U.S. individuals from the Corporate Transparency Act's beneficial ownership reporting requirements.

As a result:

✅ Most U.S.-based corporations, LLCs, and other entities are no longer required to file Beneficial Ownership Information (BOI) reports.

✅ U.S. individuals who previously obtained a FinCEN ID are no longer required to update or maintain that filing.

✅ FinCEN has announced it will delete previously reported information relating to U.S. persons.

For most clients, this means that concerns about CTA filings and ongoing reporting obligations have been eliminated.

A limited number of foreign entities registered to do business in the United States may still be subject to certain reporting requirements.
