Background
The firm was established in 2004 by its present senior partner, Gerald Nqobile Mlotshwa. Over the years, the firm has grown into one of the larger law firms in Zimbabwe, taking also into account the value of transactions it handles in any given year. Certainly, its brand, Titan Law, is the most recognized brand on the market. The practice is a full practice law firm with a strong bias toward the natural resources, corporate and financial services sectors. It is a market leader in land reform and investment in agriculture. Mining and property law are also strong practice areas for the firm, as is high stakes litigation and advice in Zimbabwe’s corporate boardrooms. Titan Law is well respected in the market place for formulating and implementing legal strategies in the resolution of corporate and commercial transactions and disputes. The firm has a second office in the city of Bulawayo, and wholly owns Titan Legal Inc, a Seychelles pan-African corporate advisory firm domiciled in Mauritius. A key highlight of the Summit was the presentation delivered by our Partner and Head of Conveyancing & Real Estate Development, Kelvin Sabao, on “Securitisation of Title Deeds in Zimbabwe.”

In his presentation, Kelvin unpacked the evolution of Zimbabwe’s land administration system from its paper-based origins to the current challenges of fraud, fragmented records, and inefficiencies that have long affected the property market.

He further explored the transformative impact of Statutory Instrument 76 of 2025, which signal a decisive shift toward a secure, digital, and more reliable property registration system.

Key insights from the presentation included:
• The risks inherent in the traditional deeds system and the rise of double sales
• The importance of restoring trust in property ownership through securitisation
• The legal and compliance framework for validating existing title deeds
• A forward-looking solution through a proposed Unified Cession Ledger to integrate informal property rights into the formal economy.

🚨 Important Update for Companies & Private Business Corporations in Zimbabwe

Statutory Instrument 108 of 2025 — the Companies and Other Business Entities (Re-Registration) Regulations, 2025 — have officially been published.

All companies and Private Business Corporations (PBCs) that were registered before the implementation of the electronic registry system (before April 2024) are now required to re-register.

🔑 Key Details:
Deadline: 20 April 2026
Consequence of Non-Compliance: Automatic deregistration from the official Companies Register
Effective Date: From the date of publication in the Government Gazette (26 September 2025)

This reform is aimed at maintaining an accurate and up-to-date register of active business entities in Zimbabwe.

Key considerations for foreign investors: Zimbabwe

The Companies and Other Business Entities Act (Chapter 24:31) provides for the registration of companies in Zimbabwe, while the Zimbabwe Investment & Development Agency Act (Chapter 14:37) provides the legal framework under which foreign investors may procure Investment Licences for doing business in Zimbabwe. The Zimbabwe Investment & Development Agency (ZIDA) is responsible for dealing with local and foreign investors who are interested in investing in the country in the private and public sector.

In this interview, Nqobile Ndlovu, the Managing Partner of Titan Law, and Head of Banking, Finance and Investment, explains the process of registering a company in Zimbabwe, and applying for an Investment Licence with ZIDA. While both processes are now entirely online, there are challenges that foreign investors may encounter.

Nqobile explains how Titan Law is able to assist with company registrations and applications for Investment Licences, as well as applications with other regulatory authorities, in the process of foreign investors setting up a business in Zimbabwe.
