A board cannot be held accountable for decisions it is not genuinely empowered to make.

That is the governance fault line at the heart of many state-owned enterprises—and why the “G” in ESG cannot be treated as an afterthought.

I am pleased to be speaking at the 46th African Corporate Governance Conference & Workshop on:
ESG 2.0: The Missing “G” in State-Owned Enterprises
Who really governs—the board or the state shareholder?
I will examine the respective authority of the board and the state shareholder, the boundary between legitimate active ownership and improper political interference, and why accountability must follow power.
The central proposition is simple:
Without clear board authority, independent judgement and transparent shareholder conduct, the “E” and the “S” cannot produce sustainable public value.

The website brings together my work on corporate governance, company law, state-owned companies, board accountability, public institutional reform, media commentary and speaking engagements.

My work sits at the intersection of legal scholarship, governance practice and public accountability. In particular, I am interested in how South Africa can strengthen board authority, clarify the role of the state as shareholder, and build governance frameworks that support performance, accountability and the rule of law.

This panel is where the practical implications of the Companies Tribunal’s extended jurisdiction and the appointment of retired judges at the Tribunal are discussed.

Under the direction of Judge Dennis Davis, the Tribunal’s Chairperson, Adv. Don Mahon SC (Johannesburg Society of Advocates), the Tribunal’s own Dr. Minah Tong Mongalo, and Mrs. Irene Mathatho, the discussion shifts to what “extended jurisdiction” actually means for the Tribunal, companies, and practitioners.

Panellists Machini Motloung (NADEL Chairman), Nkosana Mvundlela (BLA President), and Adv. Myron Dewrance SC (Advocates for Transformation) giving insights on justice, procedure, and access.
