A trust isn't a “set it and forget it” arrangement.

South Africa's proposed new Regulation of Trusts Bill could bring greater accountability, transparency and compliance requirements for trustees.

Think annual returns, financial statements, greater oversight by the Master and increased responsibility for those entrusted with managing assets on behalf of others.

The Bill isn't law yet - but it is an important reminder that being appointed as a trustee is more than a title.

It comes with responsibilities.

If you're a trustee, beneficiary or have a trust forming part of your estate plan, now may be a good time to make sure you understand exactly how it is being managed.

Welcome to the team Talitha!

Talitha Wyne recently joined Gillan & Veldhuizen Inc. as a Candidate Attorney, bringing with her a varied legal background and a genuine curiosity for the law and its ability to make a tangible difference.

Born in Nairobi and raised in Cape Town, Talitha matriculated from Rustenburg Girls’ High School before completing her LL.B at the University of Cape Town.

Her experience spans international advisory work, public interest and human rights law, personal injury claims and dispute resolution, including roles with the African Communities Resource Rights Alliance, Jamma Conservation and Communities, and US-based O’Connor Law.

Empathetic, resilient and self-driven, Talitha believes that “the law only fulfils its role once it is translated into real, tangible results.”

Away from the law, she enjoys reading, writing, spending time in nature and visiting art galleries - and, by her own admission, makes a very good carrot cake.

Today marks 27 years since PJ Veldhuizen and Joan Gillan founded Gillan & Veldhuizen Inc.

A lot has changed since 1999 – the law, the technology and certainly the way we work – but our commitment to personal service, practical legal advice and finding the best possible solutions for our clients hasn't.

27 years of cases, contracts, property transfers, negotiations, disputes, milestones and many memorable moments along the way.

Most importantly, 27 years of people.

When “small” doesn't necessarily mean small.

The Competition Commission is proposing greater scrutiny of certain smaller mergers – particularly in the fast-moving technology and digital space.

It's a timely reminder for business owners: before buying, selling or merging a business, make sure you understand exactly what you're getting into – from ownership and contracts to liabilities and regulatory requirements.

A good deal starts with good due diligence.

Small merger. Bigger scrutiny

South Africa’s Competition Commission has just proposed changes to its Small Merger Notification Guidelines – with a particular eye on transactions in the digital and technology sectors that may fall below the usual merger-notification thresholds.

The message for growing businesses is worth noting: "small"does not necessarily mean insignificant.

Acquisitions involving technology, data, platforms and innovative businesses can have a competitive impact well beyond their immediate turnover or asset value.

For business owners considering an acquisition, merger or investment, the legal conversation therefore needs to start well before the ch*****ne does.

Understand:
• what you are buying;
• who owns what;
• whether regulatory approval or notification may be required;
• what liabilities come with the transaction; and
• whether the deal works legally as well as commercially.

Good deals aren't simply agreed. They're properly structured.
