We always tell clients this: be careful with email.

An email does not need to look like a contract to create problems. If it confirms the main terms, sounds like approval, and is sent by someone with authority, the other side may later use it as evidence that a deal was already agreed.

So be careful with words like “agreed”, “confirmed”, “approved”, “accepted”, and “please proceed”. They are convenient words, but in the wrong situation, they may cost a lot.

If the deal is not final, say it is not final. If it is subject to internal approval, say that clearly. If it must be signed in a formal contract, say that clearly.

A careless email can do what the sender never intended it to do.

Herman, Henry & Dominic was truly honoured to host the recent APAC LAW Meeting in Saigon, held at Park Hyatt Saigon in the heart of the city.

It was a privilege to welcome LAW friends and colleagues from across the region and beyond, including China, Taiwan, Singapore, Australia, Japan, Malaysia, Canada, and many other jurisdictions.

We would also like to express our sincere thanks to Ms. Thao Nguyen, CEO of TVS and our long-time client, for sharing valuable and insightful market data with the LAW members. For lawyers who advise businesses every day, especially in cross-border matters, understanding the market is just as important as understanding the law. Her sharing gave our members a clearer and more practical view of Vietnam’s business environment. Our sincere thanks also go to Mr. Victor Burrill, our long-time friend and Chairman of the Business Executive Network in Vietnam, for leading a very meaningful coaching session on working across cultures. It was a perfect topic for lawyers who work across jurisdictions, languages, business practices, and cultural expectations every day.

What made the meeting special was not only the professional exchange. Of course, we discussed legal developments, cross-border work, market updates, client matters, and the skills needed for our profession today. But just as importantly, we shared meals, conversations, drinks, sports, laughter, and time together as friends.

That has always been one of the most meaningful traditions of LAW. For almost 40 years, LAW members have continued to meet regularly, regionally and globally, not only to strengthen professional cooperation, but also to build real relationships across countries, legal systems, languages, and cultures.

In the welcome remarks, our partner Henry shared a simple thought: Vietnam’s own story is a reminder that peace works. A country once known to many for war is now a place of energy, business, young people, new ideas, and open doors. In a world that often feels divided, meetings like this matter. Every friendship formed, every referral made, every client helped across borders, and every conversation shared around the same table is, in its own small way, a contribution to peace and cooperation.

On behalf of Herman, Henry & Dominic, thank you to all LAW members who came to Vietnam and made this meeting so warm, meaningful, and memorable. We were very happy to welcome you to Saigon, and we are grateful for the trust, friendship, and spirit you brought with you.

Vietnam rewrote its rulebook in 2025. Most foreign investors haven't noticed yet.

Law No. 64/2025/QH15 - amended by Law No. 87/2025/QH15, in force from 1 July 2025 - changed the entire hierarchy of legal documents in Vietnam.

→ The district level is gone.
→ Government Resolutions are now binding law.
→ Provincial Chairpersons can issue new regulations.
→ The State Audit Office now issues Circulars instead of Decisions.

Herman, Henry & Dominic marked 10 years since we opened our first office in Saigon.

Ten years. It is not a long time in the life of a firm, but it has been full; full of clients who trusted us with what mattered most to them, of cases that challenged us, of deals closed and interests defended at court and in arbitration. Along the way, we have been fortunate to receive recognition from rankings, networks, and the legal press. But the recognition that has meant the most has always come from our clients.

To mark the occasion, we did what any good team should do: we stepped away from our desks and spent real time together. We played, we went on a small adventure, we sang, we drank, we dined, and somewhere in between all of that, we talked. About the cases we will never forget. About the moments that made us laugh or made us sweat. About the people who were there. Those conversations, unhurried and unscheduled, reminded us why the firm feels the way it does.

None of our achievements happened on their own. . Every result we are proud of was built by the people who sat at these desks - associates and counsel, those who have moved on and those who remain. As our Partner Henry often says: he believes everyone who has ever walked through HHD's doors is a milestone of this firm, and that their time here however long or brief, was never coincidence.

To every person who was part of this journey, who is here today, or who will join us in the years ahead: we see you, we value you, and we are grateful.

Moments like these help build a stronger team, not just professionally, but personally. Staying active, connecting across offices, and simply enjoying each other’s company go a long way in sustaining the energy behind the work we do every day.

Last week, we had the chance to hold HHD's Annual Pickleball Tournament, with great participation from across the firm. It was a simple but meaningful reminder of how much these shared moments matter.

Vietnam Legal & Business Update | Last 24 Hours

A few regulatory developments worth noting for businesses, investors, and legal teams:

1. Simplification of business procedures

Resolution 66.16/2026/NQ-CP will take effect from 15 April 2026, aiming to cut and simplify administrative procedures and business conditions across 14 ministries and sectors.

This may affect licensing, approvals, compliance filings, and sector-specific business requirements.

2. New tax rules for household businesses

Decree 68/2026/NĐ-CP and Circular 18/2026/TT-BTC continue to attract attention, especially on bank account notification, e-wallets, revenue declaration, e-invoices, and the VND 500 million/year revenue threshold.

This is relevant for household businesses, individual businesspersons, tax advisers, and platforms working with small sellers.

3. Stronger consumer protection enforcement

The Government has issued Resolution 87/NQ-CP on strengthening consumer rights protection.

Businesses in retail, e-commerce, platforms, advertising, product distribution, warranty, and complaint-handling should monitor the implementation closely.

4. Fuel tax suspension extended

Vietnam has reportedly extended the suspension of fuel taxes until the end of June 2026.

This may have cost implications for logistics, transport, manufacturing, and fuel-related businesses.

5. Informal ride-sharing under scrutiny

There is renewed discussion around “xe ghép trá hình” and fairness in transport business regulation.

The key issues include licensing, tax compliance, passenger transport rules, and fair competition with licensed operators.

The common theme is clear: Vietnam is continuing to reduce administrative burdens in some areas, while tightening compliance and enforcement in others. Businesses should not only watch new laws, but also policy signals showing where enforcement may increase next.
