🚨1,500 Billion VND capital requirement, 49% foreign ownership cap, new IT and compliance obligations. What does Decree 302 mean for business?

On 1 August 2026, the government issued Decree No.302/2026/ND-CP (“Decree 302”), introducing significant updates to the legal framework for trading goods through Commodity Exchanges.

The Decree will take effect on 15 September 2026, replacing the existing Decree No 158/2006/ND-CP and its amendments.

For businesses planning to establish, invest or participate in Commodity Exchanges in Vietnam, these changes are particularly relevant as they introduce new requirements for market entry, foreign investment and compliance.

Bringing together lawyers and legal professionals from across the community, this was a wonderful opportunity to exchange perspectives, catch up with familiar faces, and build new connections in a more relaxed setting.

📣 Is your company’s beneficial ownership information still accurate under the latest enterprise registration rules?

On 23 July 2026, the Government issued Decree No. 296/2026/ND-CP (“Decree 296”), introducing significant changes to enterprise registration, including an expanded framework for identifying beneficial owners (“BOs”).

These changes are especially important for FDI companies and businesses with complex ownership structures, as companies may now need to look beyond registered shareholders and consider how ownership is held, who exercises control, and the relationships or arrangements between relevant parties when determining their BOs.

Last Saturday, our Managing Partner - Mr. Dang The Duc joined the Vietnam Go Global Investment Series 2026 - Outbound Investment Session delivering a presentation titled “Regulatory Landscape: Briefing on Recent Developments in Offshore Listing Regulations” where he shared practical insights into Vietnam’s evolving regulatory framework for offshore listings, recent legal developments, and key considerations for Vietnamese businesses seeking access to international capital markets.

It was a pleasure for Indochine Counsel to join Allinial delegations from across the region as well as investors, entrepreneurs, and business leaders in the discussion about opportunities and challenges surrounding Vietnamese businesses expanding into international markets.
