👉👉Many people believe only individuals can be prosecuted for crimes. However, under the Vietnamese Criminal Code 2015, certain commercial legal entities (companies, enterprises, and other profit-making organizations) may also bear criminal liability.
📌 1. Legal Basis
👉 Clause 2, Article 2 of the Criminal Code 2015:
“Only commercial legal entities that commit an offense prescribed in Article 76 of this Code shall bear criminal liability.”
This means not all organizations are liable-only profit-oriented entities.
🔹 2. Scope of Liability
👉Under Article 76, legal entities may be prosecuted for crimes such as:
📑 Economic & financial crimes (smuggling, trading banned goods, producing counterfeits, IP violations).
🌳 Environmental crimes (pollution, importing waste, destroying forests, harming aquatic resources).
⚠️ 3. Conditions for Liability
👉A legal entity is criminally liable only when:
1️⃣ The crime is committed in its name.
2️⃣ The crime is for its benefit.
3️⃣ There is direction or approval from the entity.
4️⃣ The statute of limitations has not expired.
⚠️ Note: Corporate liability does not exclude individual liability-both can be prosecuted.

👉 Unilateral divorce is a legal process where one spouse requests divorce without the consent of the other. This is different from a consensual divorce, where both parties agree. According to the Law on Marriage and Family 2014, the Court only grants a unilateral divorce when there are legitimate legal grounds proving that the marriage has seriously broken down and cannot continue.
📌 The main legal grounds accepted by the Court include:

✔️ If one spouse has been officially declared missing by the Court, the other spouse has the right to request divorce.
✔️ In this situation, the Court will recognize the breakdown of the marital relationship and approve the divorce.

✅Guardianship is a crucial legal measure that ensures individuals without full civil capacity are properly cared for and represented in civil matters. However, guardianship is not a permanent status. According to Article 62.1 of the 2015 Civil Code, guardianship shall be terminated when certain legal conditions are met.
🧠 The Ward Regains Full Civil Act Capacity
✅When the ward reaches the legal age of maturity or is officially recognized by the Court as having regained full civil act capacity, the purpose of the guardianship no longer exists.
👉 At this point, the individual is capable of managing their personal and property-related affairs without the need for a guardian.
👉 Therefore, guardianship is lawfully terminated.
⚰️ The Ward Has Passed Away
✅The guardianship relationship ends immediately upon the death of the person being guarded.
👉 Since the legal obligation of the guardian is tied directly to the existence of the ward,
👉 The passing of the ward automatically nullifies the guardianship responsibilities.
👨‍👩‍👧 Biological Parents of the Minor Can Resume Duties
✅In cases where a minor is under guardianship due to their parents’ temporary inability to fulfill their parental duties, the guardianship will cease once the biological parents are confirmed to be capable again.
👉 If the parents are proven to meet the legal and practical requirements to protect and represent their child,
👉 The guardian steps aside, and the parents resume their natural legal roles.
📜 The Ward Is Adopted
✅Under Clause 1, Article 52 of the Civil Code, when a ward is legally adopted, the adoptive parents take full legal responsibility for the care and representation of the child.
👉 This official adoption ends the need for a guardian,
👉 And the guardianship status is lawfully terminated.

🧑‍⚖️ When a person passes away without leaving a will, the inheritance is settled according to legal (statutory) inheritance rules under the Civil Code 2015.👇👇👇👇
👨‍👩‍👧 Who Are the Legal Heirs?
📌 Under Point a, Clause 1 and Clause 2 of Article 651 of the Civil Code 2015, the first line of heirs includes:
👉 Spouse
👉 Biological and adopted children
👉 Biological and adoptive parents
✅ All heirs of the same class will receive equal shares of the estate.
📂 Example Case:
Their land use rights are considered inheritance. They had no adopted children, no separate children, and their own parents also passed away. Hence, their 3 biological children are the sole first-line heirs and will receive equal shares.
🖊️ What If Heirs Want to Divide the Estate?
Under Article 57 of the Law on Notarization, heirs (by will or by law) can request notarization of an agreement on division of inheritance, especially when the estate is undivided.
💝 In such an agreement, an heir can gift their entire share or part of it to another heir.
🏠 When the inheritance includes land or assets requiring ownership registration, the notarial file must include:
📎 Proof of land use rights or ownership from the deceased
📎 Proof of kinship between the deceased and the heirs
👀 The notary must verify:
✔️ The deceased legally owned the estate
✔️ The individuals requesting notarization are legal heirs
🚫 If unclear or unlawful, the notary may refuse to proceed, or carry out verification or request an expert evaluation.
📢 The notary office is also required to publicly post the acceptance of the notarial request before officially notarizing the inheritance division agreement.
✍️ All heirs must sign and fingerprint the agreement in the presence of a notary.
📑 Once notarized, the agreement becomes a legal basis for the competent authority to transfer land use rights or ownership of the property to the legal heirs.
