HỘI THẢO VỀ PHÁT TRIỂN THỊ TRƯỜNG DỊCH VỤ PHÁP LÝ VIỆT NAM.
Hôm nay, TS. LS Lê Hồng Phúc, Of Counsel của Rajah & Tann LCT Lawyers, được mời tham dự và phát biểu tại Hội thảo về phát triển thị trường dịch vụ pháp lý Việt Nam theo hướng minh bạch, chuyên nghiệp và hiệu quả.
Trong phần trao đổi, LS Phúc tập trung vào một góc nhìn rộng hơn về quốc tế hóa và từng bước hình thành năng lực xuất khẩu dịch vụ pháp lý của Việt Nam, đặc biệt thông qua việc các luật sư và hãng luật Việt Nam tham gia sâu hơn vào chuỗi giá trị dịch vụ pháp lý xuyên biên giới.
Một ví dụ gần đây là việc Cục Sở hữu trí tuệ, Bộ Khoa học và Công nghệ công bố lựa chọn Brownstein LLP (Hoa Kỳ), với YKVN LLP là hãng luật đối tác tại Việt Nam, để đại diện và hỗ trợ Chính phủ Việt Nam trong cuộc điều tra Section 301 về sở hữu trí tuệ do Văn phòng Đại diện Thương mại Hoa Kỳ (USTR) khởi xướng. Mô hình này cho thấy một vấn đề pháp lý quốc tế có thể đòi hỏi sự kết hợp giữa chuyên môn luật nước ngoài, luật quốc tế và năng lực pháp lý tại Việt Nam. Đồng thời, đây cũng là một ví dụ đáng chú ý về Nhà nước với tư cách một “smart client” khi lựa chọn và sử dụng external counsel cho một vấn đề pháp lý xuyên biên giới.
Từ thực tiễn của Rajah & Tann Asia, LS Phúc cũng chia sẻ một số ví dụ về việc Rajah & Tann LCT Lawyers tại Việt Nam phối hợp với Rajah & Tann Singapore trong các giao dịch và tranh chấp xuyên biên giới, như giao dịch của Primary Wave IP Investment Management liên quan đến POPS Music Singapore, vụ việc của Vietnam Waste Solutions tại SIAC, hay giao dịch mua lại liên quan đến IMCD N.V. Những ví dụ này cho thấy luật sư làm việc tại Việt Nam có thể tham gia vào một regional legal services platform, thay vì chỉ thực hiện một phần công việc pháp luật Việt Nam biệt lập.
Từ đó, LS Phúc đặt ra một câu hỏi dài hạn: Việt Nam có nên từng bước xây dựng năng lực xuất khẩu dịch vụ pháp lý?
Xuất khẩu dịch vụ pháp lý không nhất thiết phải bắt đầu bằng việc các hãng luật Việt Nam mở văn phòng ở nước ngoài. Một hướng đi thực tế hơn là tham gia ngày càng sâu vào các cross-border legal services value chains thông qua co-counsel, joint representation, regional legal networks và hợp tác giữa các hãng luật Việt Nam với các hãng luật quốc tế.
Vấn đề chiến lược vì vậy không chỉ là luật sư Việt Nam có tham gia hay không, mà còn là đang đảm nhận phần việc nào và tạo ra bao nhiêu giá trị trong chuỗi dịch vụ pháp lý quốc tế. Mục tiêu dài hạn có thể là từng bước dịch chuyển từ local counsel đến co-counsel và tiến tới các dịch vụ có giá trị gia tăng cao hơn, như transaction structuring, lead advisory, project finance, cross-border M&A và international dispute resolution.
“Thực tế Việt Nam đã xuất hiện những mô hình hợp tác pháp lý xuyên biên giới khá rõ. Theo tôi, đây là những bước đi quan trọng để luật sư Việt Nam tham gia sâu hơn vào chuỗi giá trị dịch vụ pháp lý khu vực và quốc tế. Câu hỏi tiếp theo không chỉ là chúng ta có mặt trong chuỗi đó hay không, mà là làm thế nào để từng bước đảm nhận những phần công việc có giá trị gia tăng cao hơn và tiến tới xuất khẩu dịch vụ pháp lý.”

WORKSHOP ON DEVELOPING VIETNAM’S LEGAL SERVICES MARKET.
Today, Dr./Lawyer Le Hong P**c, Of Counsel at Rajah & Tann LCT Lawyers, was invited to attend and speak at a workshop on developing Vietnam’s legal services market towards greater transparency, professionalism, and effectiveness.
In his remarks, Mr. P**c focused on the broader perspective of the internationalisation and gradual development of Vietnam’s capacity to export legal services, particularly by enabling Vietnamese lawyers and law firms to participate more deeply in cross-border legal services value chains.
One recent example is the selection by the Intellectual Property Office of Vietnam, Ministry of Science and Technology, of Brownstein LLP (United States), with YKVN LLP as its partner law firm in Vietnam, to represent and assist the Government of Vietnam in the Section 301 investigation concerning intellectual property initiated by the Office of the United States Trade Representative (USTR). This model illustrates how an international legal matter may require a combination of expertise in foreign law and international law, together with an in-depth understanding of Vietnamese law, policy, and practice. It also provides an interesting example of the State acting as a “smart client” – capable of identifying its legal needs and selecting and engaging external legal counsel appropriate to the cross-border nature of the matter.
Drawing on the experience of Rajah & Tann Asia, Mr. P**c also highlighted examples of Rajah & Tann LCT Lawyers in Vietnam working together with Rajah & Tann Singapore on cross-border transactions and disputes, including Primary Wave IP Investment Management’s proposed investment involving POPS Music Singapore, the Vietnam Waste Solutions matter before the Singapore International Arbitration Centre (SIAC), and an acquisition involving IMCD N.V. These examples demonstrate how lawyers based in Vietnam can participate in a regional legal services platform, rather than being confined to an isolated Vietnam-law workstream.
Against this background, Mr. P**c raised a longer-term question: Should Vietnam gradually develop its capacity to export legal services?
Exporting legal services does not necessarily have to begin with Vietnamese law firms establishing offices overseas. A more practical pathway may be for Vietnamese lawyers and law firms to participate increasingly in cross-border legal services value chains through co-counsel arrangements, joint representation, regional legal networks, and cooperation between Vietnamese and international law firms.
The strategic question, therefore, is not simply whether Vietnamese lawyers participate, but what roles they perform, how much value they create, and how they can progressively move towards higher-value segments of regional and international legal services value chains.
