⚖️ CAPITAL CONTRIBUTION DEADLINE IN VIETNAM: WHAT SHOULD BUSINESSES AND INVESTORS KNOW?

Capital contribution is not simply a matter of transferring funds to a company. Contributing the committed capital on time may also affect charter capital, ownership rights and enterprise registration compliance.

⏳ For several common company structures, the statutory period for capital contribution or payment for subscribed shares is generally 90 days from the date of issuance of the Enterprise Registration Certificate (ERC).

📌 Decree No. 371/2026/ND-CP: New Regulations on the Recruitment and Management of Vietnamese Employees

On 25 September 2026, the Government issued Decree No. 371/2026/ND-CP, introducing detailed regulations on the recruitment and management of Vietnamese employees working for foreign organisations and individuals in Vietnam. The Decree will take effect on 15 November 2026, replacing the corresponding provisions under Decree No. 152/2020/ND-CP and Decree No. 70/2023/ND-CP.

Key areas include the scope of application, recruitment and public announcement requirements, post-contract notification procedures, employee management dossiers, the required policy and legal dissemination programme, termination procedures, labour subleasing, and annual reporting obligations.
