[ESTABLISHING REPRESENTATIVE OFFICE]
☘️To facilitate communication and customer care, establishing a representative office is being chosen by many businesses. A representative office is a dependent unit of the enterprise, which has the task of representing by authorization the interests of the enterprise and protecting those interests. Representative offices have the right to have their seals and separate accounts but are not allowed to perform business functions.
🌸To set up a representative office, you need to prepare all documents. Then submit it to the Authority for Planning and Investment and wait for the results within 3 days from the date of submission. If the application is valid, the Business Registration Office will issue a certificate of operation registration of the representative office; Otherwise, the Department will give notice of the amendment and supplement the enterprise registration dossier.
✨The documents include: Notice of establishment of representative office; Minutes of meetings of the Board of members/Board of Directors; Decision to establish representative office; Decision on appointment of the head of representative office; Notarized copy of ID card/CCCD/passport of the head of the representative office; Letter of attorney for the applicant; Notarized copy of ID/CCCD/passport of the applicant.

[THÀNH LẬP VĂN PHÒNG ĐẠI DIỆN]
☘️Để thuận tiện trong hoạt động giao tiếp, chăm sóc khách hàng thì thành lập văn phòng đại diện là chọn lựa đúng đắn và được nhiều doanh nghiệp lựa chọn. Văn phòng đại diện là đơn vị phụ thuộc của doanh nghiệp, có nhiệm vụ đại diện theo ủy quyền cho lợi ích của doanh nghiệp và bảo vệ các lợi ích đó. Văn phòng đại diện có quyền có con dấu riêng, tài khoản riêng nhưng không được thực hiện chức năng kinh doanh.

✨Các hồ sơ bao gồm: Thông báo thành lập văn phòng đại diện; Biên bản họp của hội đồng thành viên/hội đồng quản trị; Quyết định thành lập văn phòng đại diện; Quyết định bổ nhiệm người đứng đầu văn phòng đại diện; Bản sao công chứng CMND/CCCD/hộ chiếu người đứng đầu văn phòng đại diện; Giấy ủy quyền cho người nộp hồ sơ; Bản sao công chứng CMND/CCCD/hộ chiếu của người nộp hồ sơ.
Sau khi thành lập văn phòng đại diện cần thực hiện những công việc bao gồm: Treo bảng hiệu văn phòng đại diện; Công bố mẫu dấu (nếu văn phòng đại diện có khắc con dấu riêng); Nộp tờ khai và tiền lệ phí môn bài (miễn lệ phí môn bài nếu doanh nghiệp trong thời gian miễn lệ phí môn bài).
🌿Một văn phòng đại diện cần lưu ý đến các điều kiện theo quy định của pháp luật. Cụ thể:
▪️ Văn phòng đại diện chỉ được thành lập sau khi công ty được thành lập. Do đó, không thể song song thực hiện thủ tục thành lập công ty cùng văn phòng đại diện.
▪️ Tên văn phòng đại diện bắt buộc bao gồm tên công ty kèm theo cụm từ “Văn phòng đại diện” ….
▪️ Văn phòng đại diện chỉ được thực hiện chức năng giao dịch. Do đó trưởng văn phòng đại diện chỉ được ký các hợp đồng và đóng dấu bằng dấu của văn phòng đại diện đới với các giao dịch phục vụ hoạt động của văn phòng đại diện như ký hợp đồng thuê nhà cho văn phòng, hợp đồng lao động với nhân sự của văn phòng, mua bán vật dụng hoạt động của văn phòng….
▪️ Trưởng văn phòng đại diện không được ký hợp đồng phát sinh hoạt động kinh doanh. Khác với địa điểm kinh doanh, vẫn được phát sinh hoạt động kinh doanh tại địa điểm kinh doanh.
▪️ Địa chỉ trụ sở của văn phòng đại diện công ty không được là nhà tập thể, nhà chung cư (tương tự như trụ sở của công ty).
▪️ Mặc dù văn phòng đại diện không phát sinh các thủ tục với cơ quan thuế. Tuy nhiên, khi doanh nghiệp có nhu cầu thay đổi địa chỉ của văn phòng đại diện khác quận, huyện vẫn phải thực hiện xác nhận nghĩa vụ thuế với Chi cục thuế cũ. Do vậy, doanh nghiệp cần lưu ý việc lựa chọn địa chỉ phù hợp khi thành lập văn phòng đại diện để tránh phát sinh thay đổi địa chỉ khác quận. Khác với địa điểm kinh doanh khi doanh nghiệp có sự thay đổi địa chỉ địa điểm kinh doanh không cần thực hiện thủ tục xác nhận nghĩa vụ thuế tại Chi cục thuế.
