On July 17, 2024, the Government issued Decree No. 13/2023/ND-CP on personal data protection (“Decree 13”). After a period of practical implementation, Decree 13 has had positive impacts in implementing policies related to personal data protection.

From 25-28 October, in Sydney, Australia, ADK Vietnam Lawyers attended the "MSI International Conference”. This is an annual conference organized by MSI Global Alliance which is an international alliance of legal and accounting firms with over 250 member firms in more than 100 countries across the Americas, Asia-Pacific, Europe, Middle East & Africa. On August 19, 2022, ADK Vietnam Lawyers in collaboration with Apolat Legal is pleased to organize and run a seminar on investment and dispute resolution by arbitration in Vietnam. The seminar also had the participation of more than 40 experienced lawyers from more than 30 law firms in Singapore as members of the Law Society of Singapore.

Lawyer Le Tien Dat - Director and Managing Partner of ADK Vietnam Lawyers, who is also the moderator of the seminar, presented and shared about issues related to the investment field in Viet Nam. During the sharing, Lawyer Dat presented current issues of regulations and policies as well as current trends and investment situation for Singapore lawyers to have an overview of the investment field in Vietnam. At the same time, Lawyer Dat also, with his practical experience, answered a number of issues raised by Singapore lawyers related to this field.

The seminar was followed by a presentation of Lawyer Nguyen Minh Tien from Apolat Legal on the topic of dispute resolution by arbitration. In his sharing, Lawyer Tien focused on the legal provisions as well as the practical application in Vietnam related to arbitration proceedings. At the same time, Lawyer Tien also had a part to exchange, share and answer questions posed by Singapore lawyers.

Overall, this seminar was very helpful and informative. Through this seminar, the views on investment and arbitration proceedings were openly presented and shared between Lawyers from the two countries. From there, the lawyers from Singapore will have a more specific and clearer approach to the legal framework as well as the practices in the above fields of Vietnam.

LEGAL ISSUES AND PROCEDURES FOR ISSUANCE OF
STOCK OPTION FOR EMPLOYEES

Nowadays, the company policy of granting employees a right to purchase a number of shares is a trend that many companies apply in their management and development. Through this policy, the company that issues the stock option will attract potential talents and retain current key employees, motivating them to dedicate themselves to meet the company's policy conditions in order to receive this stock option right.

However, the benefit from owning shares is not immediate as a bonus, employees have a chance to become shareholders in the company and receive profits according to the ratio they legally hold. Accordingly, the stock option agreement is the evidence to record the negotiation between the company and the employee on the right to exercise of the stock option. In order to meet that requirement, the stock option needs to be drafted carefully, reasonably, balancing the interests of the parties as well as highly predictable, and the procedures for issuing the stock option for employees need to go through many steps in accordance with provisions of the laws.
