Vietnam’s New Bankruptcy Law: What Reforms to Be Expected?

On 11 December 2025, Vietnam’s National Assembly passed the Law on Recovery and Bankruptcy No. 142/2025/QH15, effective 1 March 2026 (“2025 Law”). The 2025 Law replaces the Law on Bankruptcy No. 51/2014/QH13 and addresses long-standing procedural and structural challenges.

Key reforms:
✔️ Recovery-First Approach: Prioritises corporate recovery over liquidation.
✔️Flexible Restructuring Tools: Enables sale of the debtor’s business as a going concern and early asset sales when preservation costs exceed value.
✔️Streamlined Dispute Resolution: Centralised adjudication by the bankruptcy court.

The 2025 Law marks a significant shift in Vietnam’s insolvency framework, turning bankruptcy from a last-resort mechanism into a functional tool for corporate reorganisation and economic restructuring. Its implementation will be closely watched by both domestic and foreign stakeholders.

JANUARY 2026 NEWSLETTER

On 24 December 2025, the Government officially issued Decree No. 337/2025/ND-CP on electronic labour contracts (Decree 337), in line with Vietnam’s national digital transformation strategy.

Although Decree 337 took effect on 1 January 2026, the adoption of electronic labour contracts remains voluntary at this stage, subject to the completion and operation of the electronic labour contract platform by the Ministry of Home Affairs. However, by no later than 1 July 2026, the national electronic labour contract platform must be officially put into operation. From that date, the conclusion and performance of electronic labour contracts must comply with Decree 337.

Key highlights include:
✔️ Centralised digital architecture: the electronic labour contract platform, identification codes, and authorised service providers
✔️ Technical and identity verification requirements for electronic labour contracts
✔️ Personal data protection, cybersecurity, and employee rights
✔️ Legal validity, contract conversion, and transitional arrangements

Decree Detailing the Implementation of the Law on Personal Data Protection

On 31 December 2025, Vietnam issued Decree No. 356/2025/ND-CP (“Decree”), guiding the implementation of the Law on Personal Data Protection (Law No. 91/2025/QH15) (“PDP Law”).

Both the Decree and the PDP Law took effect on 1 January 2026, marking the formal transition from Decree No. 13/2023/ND-CP to a stronger, higher-level statutory framework with enhanced enforcement and more specialised rules on advanced data processing technologies.

Key highlights include:
✔️ Refinement of the classification of basic personal data and sensitive personal data
✔️ Extended timelines for responding to data subject requests
✔️ Stricter requirements for obtaining valid consent
✔️ More detailed rules governing personal data transfers, including cross-border transfers
✔️ Standardised requirements for Data Protection Officers and Data Protection Departments (DPO/DPD)
✔️ Expanded exemptions from the requirement to submit Cross-Border Data Transfer Impact Assessment (DTIA) reports
✔️ Clarification of timelines for updating Data Protection Impact Assessment (DPIA) and DTIA reports
✔️ Exemptions applicable to micro-enterprises, small enterprises, and start-ups
✔️ Enhanced data breach notification obligations, particularly in relation to location data and biometric data
✔️ Introduction of sector-specific requirements and standardised compliance templates

Overall, the Decree reflects the Vietnamese Government’s substantial efforts to establish a more structured, enforceable, and comprehensive personal data protection framework in Vietnam.

Businesses are encouraged to use the remaining transition period to reassess their data classification practices, consent mechanisms, data transfer arrangements, and internal governance structures to ensure full compliance with the PDP Law and its implementing Decree.
