Do you need a "parent" company? For most small businesses, parent companies are not helpful and are just more overhead and complicate an otherwise simple business structure. Putting your multiple businesses under an "umbrella" or "parent" company sounds nice, but mostly, it's not necessary.

Parent companies are useful when investors are involved and the subsidiaries are part of a portfolio, asset protection, or creating anonymous business structures. Otherwise having multiple business entities without a parent company is just all you need.

Request for proposals (RFPs) do not work for our industry. Every so often, I get a RFP with paragraph-long requests (with deadlines!) asking for a variety of things, including deliverables. Yet, the requester does not bother answering basic questions that helps us determine if we can even help them. RFPs are not common in the legal industry and for a reason, they do not make sense. I often outright reject the clients, especially if they do follow our intake process.

If you are selling your business, it is very important to be cautious about what information you share with a buyer while the deal is still being negotiated. While a buyer has every right to do their due diligence, a seller needs to be cautious about sharing business or client details, thereby risking the value of their business or the seller's ability to find another buyer. As a seller, do not assume the deal will close and don't forget that it is on you to enforce any confidentiality or non-solicitation agreements if the buyer steals business from you.

Yes, it can be done -- it is possible for a lawyer to be both practical and still advocate for the client. When I review contracts and work a deal, I am not here to show off and redline for the sake of it. If the feedback does not serve a purpose (eg, minor technicality or formatting preference) then choosing the practical route and focusing on the details that actually matter is the way to go.
