FRIENDLY REMINDER: Annual reports filed after May 1st at midnight Eastern Standard Time will be charged a $400 non-negotiable late fee unless the entity is a non-profit. As of December 23, 2024, the nationwide injunction blocking the enforcement of the Corporate Transparency Act (CTA) and its Beneficial Ownership Information (BOI) reporting requirements has been lifted. The Fifth U.S. Circuit Court of Appeals reversed the earlier decision by a Texas federal judge, allowing the U.S. Treasury Department's Financial Crimes Enforcement Network (FinCEN) to enforce the law.

Following the appeals court's decision, FinCEN has reinstated the BOI reporting requirements. To accommodate businesses affected by the temporary injunction, FinCEN has extended the reporting deadline for companies created before 2024 to January 13, 2025. Entities formed on or after January 1, 2024, are required to file their initial reports within 90 days of their creation.

The CTA mandates that corporations, limited liability companies (LLCs), and similar entities report information about their beneficial owners to FinCEN. This measure aims to combat money laundering and other illicit financial activities by increasing transparency in corporate ownership. Non-compliance with the reporting requirements can result in civil or criminal penalties.

Given the recent legal developments and the reinstatement of the BOI reporting requirements, it is advisable for affected entities to prepare and submit their reports by the new deadlines to ensure compliance.

REMINDER TO FILE YOUR ANNUAL REPORT IN FLORIDA on or before May 1st. A $400 non-negotiable late fee will be imposed on any profit corporation, LLC, LP and LLLP annual report filed after midnight Eastern Standard Time on May 1st. Non-profit corporations are not subject to the $400 late fee. Any business entity which fails to file its annual report by the third Friday of September will be administratively dissolved or revoked in our records on the fourth Friday in September.
