As a small business owner, you plan for your business to have continuity and stay in business for a long time. Thus, it is essential to have a business succession plan.

In place of (or in combination with) this plan, you can use your personal estate plan to address the issues involved with business continuity in the event of your absence. Remember that your family, employees, and customers/clients are relying on you. You've worked hard to build your business, so take essential steps now to protect its future potential.

At Piatchek Law Firm, we are at home in both the business law and estate planning arenas, and we're especially comfortable in the intersection where the two overlap and intertwine. To book a confidential consultation please call us at 417-409-2420.

One frequent question we get asked is ""What is the difference between a limited liability company (LLC) and a corporation?""

Both corporations and LLCs can provide separation between business assets and personal assets. They also allow you to sign and bind the entity, and not yourself when signing legal contracts.

On the other hand, corporations have to be renewed, with the appropriate filings each year, while LLC can be 'perpetual'. LLCs are more straightforward, not requiring a board or shareholders. They also need less paperwork for the operation of the business and have more flexibility tax-wise.

When choosing which type of business entity is right for you, it's important to consider liability. Liability refers to the extent to which an owner is responsible for the debts and charges against their business organization.

If an owner has ""personal liability,"" he or she is fully responsible. This means creditors may reach all personal funds of the owner even if those funds are not invested in or part of the business.

If an owner has ""limited liability,"" his or her responsibility is limited to the funds he or she invested in the organization.

To select the best business entity for your needs, you need to evaluate the risks and liabilities your business may incur during its operation. Both corporations and LLCs can provide limited liability to owners, whereas proprietorship and partnerships do not. You can learn more about LLCs here: https://bit.ly/3bclm6z
