Recent changes to Washington State’s capital gains and estate tax laws are increasingly influencing how founders approach liquidity events, business exits, and estate planning.

With the enactment of SB 5813, the tax landscape has shifted and as a result, the timing and structure of transactions have become more important for founders and major shareholders seeking to optimize financial outcomes.

This environment requires thoughtful planning around tax thresholds, the use of charitable strategies to help offset gains, and a comprehensive review of estate and liquidity plans. Beginning the planning process early can help ensure strategies are aligned with the current tax framework.

Carney Badley Spellman's legal team, led by John Dippold and Eric Hanson, successfully represented Orion Marine Contractors in securing a $12 million settlement with the Northwest Seaport Alliance (NWSA), resolving a high-stakes dispute involving the modernization of Terminal 5 in West Seattle.
