FinCEN Announces Interim Final Rule!

We want to inform you of a significant regulatory update that may impact your business. As expected, on March 21, 2025, FinCEN issued an interim final rule eliminating the Beneficial Ownership Information (BOI) reporting requirement for U.S. companies and U.S. persons under the Corporate Transparency Act.

Key Changes:
✅ U.S. companies and U.S. persons are no longer required to report BOI to FinCEN.
✅ The definition of a “reporting company” now applies only to foreign entities registered to do business in the U.S.
✅ Foreign entities meeting the new criteria must still report BOI, but U.S. persons are no longer reportable beneficial owners.

New Deadlines for Foreign Entities:
📌 Foreign entities registered before March 21, 2025: Must file BOI reports by April 20, 2025 (30 days from the date of the interim final rule).
📌 Foreign entities registered on or after March 21, 2025: Must file within 30 days of receiving notice of registration approval.
FinCEN is accepting comments on this interim final rule and expects to finalize it later this year.

What Does This Mean For YOU?:
For U.S. business owners, this is a huge compliance win—it means:
✅ No more BOI reporting – U.S. companies and their owners no longer have to file Beneficial Ownership Information (BOI) reports with FinCEN.
✅ Less paperwork, fewer headaches – The reporting burden that was set to impact millions of businesses is now gone.
✅ No penalties to worry about – Since U.S. entities are exempt, there’s no risk of fines or enforcement for failure to report BOI.

Overall, this change simplifies regulatory requirements and reduces administrative costs for small and mid-sized businesses in the U.S.

Today's The Day!!! We are anticipating further CTA guidance from FinCEN.

On February 27, 2025,FinCEN stated that it will not issue fines, penalties, or take any enforcement actions against companies that fail to file or update BOI reports by the current deadlines. Enforcement will not begin until a forthcoming interim final rule becomes effective and new reporting deadlines are established.

By March 21, 2025, FinCEN intends to issue this interim final rule to extend BOI reporting deadlines and provide further guidance. Additionally, FinCEN will seek public input on potential revisions to the existing BOI reporting requirements, with a focus on reducing burdens for small businesses while maintaining national security and law enforcement priorities.

We will continue monitoring these developments and provide updates as new deadlines and requirements are finalized. If you have any questions or concerns, feel free to reach out.
