🚨📢‼️FINCEN Real Estate Reporting Rule Vacation Appealed, Additional FINCEN Guidance

As previously reported, on March 19, 2026 the U.S. District Court in Flowers Title Companies, LLC v.
Bessent (E.D. Texas, Case No. 6:25-cv-127-JDK) entered its order vacating the FINCEN Real Estate
Reporting Rule.

FINCEN has now formally appealed that ruling to the 5th Circuit Court of Appeal, and on May 18th issued some comforting guidance.

• They reconfirmed that Reporting persons are not currently required to file Real Estate Reports
with FinCEN and are not subject to liability if they fail to do so while the court’s order remains in
force; and
• That if the court’s order is overturned, they will not be requiring the filing of reports for
transactions that closed while the court’s order was in effect.
• If the order is overturned, FinCEN will provide further guidance on when reporting will be required.

More resources on FinCEN and verifying that reporting is not currently required and will NOT be required retroactively if reinstated.

Earlier this week, FinCEN released a few revised FAQs related to the Residential Real Estate Rule (the RRE) and FinCEN’s appeal of the court order revoking the RRE. Most of those revisions were nothing new. However, one did give clarity to previously unclear guidance. That question was, “If the order is overturned, will reporting persons be required to retroactively file Real Estate Reports for transfers that otherwise would have been reportable while the order was in effect?”

FinCEN confirmed not only that those required to file reports pursuant to the RRE are not currently required to do so, but that no retroactive reports would be required if the RRE was upheld on appeal and the order vacating the RRE was set aside. Instead, FinCEN will issue additional guidance at that time on when reporting will be required.

Again, during the appeal of the court order revoking the RRE, agents do not need to collect information required by the RRE until such time as the RRE has been reinstated. Please contact your TRG underwriting counsel if you have further questions.
