On May 21, 2026, U.S. District Judge Trina Thompson granted Lead Plaintiff SEB Funds AB’s motion for final approval of an $85 million settlement in this securities fraud class action. The case arose out of Wells Fargo’s alleged misrepresentations and omissions regarding its diversity hiring initiative, the Diverse Search Requirement. SEB, along with additional plaintiff West Palm Beach Firefighters’ Pension Fund, alleged that Wells Fargo was conducting “fake” interviews of diverse candidates to allow the Company to claim compliance with the Diverse Search Requirement.

After overcoming Defendants’ motion to dismiss, Plaintiffs successfully moved for class certification, completed fact and expert discovery, and completed briefing on dispositive motions. With a trial in early 2026 fast approaching and on the eve of the parties’ summary judgment oral argument, a settlement was reached for $85 million in cash.

On May 11, 2026, U.S. District Judge Michael E. Farbiarz granted Lead Plaintiff AMF Tjänstepension AB’s motion for final approval of a $239 million settlement in In re Celgene Corp. Securities Litigation, No. 2:18-cv-04772, a securities fraud suit in New Jersey federal court. The settlement is believed to be one of the top ten largest-ever shareholder recoveries in the Third Circuit. This long-running case (filed in 2018) involved drugmaker Celgene’s alleged misrepresentations regarding the regulatory timeline for its multiple sclerosis drug Ozanimod which was beleaguered by developmental setbacks. The action also alleged that Celgene fraudulently concealed sales problems with a second drug, Otezla, approved for the treatment of psoriasis and psoriatic arthritis. The settlement follows seven years of litigation. With a January 2026 trial date looming, the case resolved as the parties were preparing in earnest for a month-long jury trial.

On April 27, 2026, U.S. District Judge Jennifer L. Hall issued an order substantially denying the Defendants’ motion to dismiss the securities fraud class action against Humana, Inc. and its former CEO and CFO.

Lead Plaintiff SEB, one of the largest institutional investors in Sweden, alleges that Humana, its former CEO Bruce Broussard, and its former CFO Susan M. Diamond repeatedly misrepresented the strength of Humana’s core Medicare Advantage business following the COVID-19 pandemic, issuing false and misleading statements with respect to the supposedly stable level of healthcare utilization by Humana’s members, and falsely represented that it would maintain its high Medicare Advantage Star ratings—ratings awarded by the Centers for Medicare & Medicaid Services for the quality of healthcare provided to Medicare members, which can result in enormous amounts of additional revenue. Despite these frequent assurances about these two key earnings drivers for Humana, Plaintiff alleges that, as the effects of the pandemic abated, Defendants knew, with respect to utilization, that delays in healthcare services had created a massive backlog of healthcare demand, and that a broad-based surge in utilization was significantly increasing the amount the company was paying for member healthcare. Further, as a result, the company undertook aggressive cost-cutting measures to reduce costs, including improper denials of medical services and massive layoffs. SEB alleges that Defendants knew that these cost-cutting measures were resulting in declines in the quality of Humana’s benefit plans, detrimentally affecting its Star ratings, and ultimately leading to sharp drop-offs in Star-related revenue. The truth regarding Humana’s increased utilization and the damage to its Star ratings was revealed in a series of disclosures from June 2023 to October 2024.

Led by plaintiff Bucks County Employees’ Retirement System, Kessler Topaz brought claims on behalf of the minority stockholders of Covetrus, Inc. to challenge the take-private acquisition of Covetrus by Clayton, Dubilier & Rice, LLC (“CD&R”) and TPG Global, LLC for $21.00 per share in cash. The litigation alleged that CD&R partners and Covetrus board designees Ravi Sachdev and Sandra Peterson, along with CD&R itself, manipulated the sale process to acquire Covetrus at a below-market price and repeatedly violated standstill provisions designed to protect the unaffiliated stockholders from a transaction involving CD&R, which owned approximately 25% of Covetrus pre-transaction.

After overcoming CD&R, Sachdev, and Peterson’s motion to dismiss, the parties engaged in extensive document discovery. Just before depositions were to begin, the parties conducted a mediation, after which a settlement was reached for $70 million. In approving the settlement, the Court recognized the substantial contributions of plaintiff Bucks County. The settlement’s recovery is the third-largest settlement of Revlon claims in the Delaware Court of Chancery’s history.

Michelle Newcomer, eDiscovery Counsel at KTMC, is speaking on April 24th in Salt Lake City at The Sedona Conference Working Group 1 Mid-Year Meeting, where she will join the panel, “GenAI Vortex: How Generative AI Is Transforming e-Discovery, Privacy, and Cross-Border Practice.”

The panel will examine how generative AI is reshaping e-discovery and information governance, with a focus on data privacy, security, and cross-border challenges. It will also highlight emerging case law, including Tremblay v. OpenAI and the Anthropic “shadow library” rulings, and what they signal for handling AI training data, prompts, and outputs in discovery.
