If you have solar or wind energy, you should opt out of the Homefield Energy aggregation program by end of day today. Homefield Energy does not functionally allow for net metering, and does not compensate you in any way for excess energy production. Even if you are producing more energy than you use, you will wind up paying electrical bills through the aggregation program. The opt out will leave Ameren as the one sourcing your energy, and Ameren allows for net metering and renewable energy savings.

The aggregation program promises savings, but it winds up costing you money if you have solar or wind.

On March 21, 2025, the Financial Crimes Enforcement Network (FinCEN) issued an interim final rule that significantly alters the requirements for reporting beneficial ownership information (BOI) under the Corporate Transparency Act (CTA). This rule removes the obligation for U.S. companies and U.S. persons to report BOI to FinCEN. ​

Key Changes:

Redefinition of "Reporting Company": The term now exclusively refers to entities formed under foreign laws that have registered to do business in any U.S. state or tribal jurisdiction. Entities previously classified as "domestic reporting companies" are now exempt from BOI reporting requirements. ​

Exemptions for U.S. Persons: Foreign entities meeting the new definition of a "reporting company" are not required to report any U.S. persons as beneficial owners. Consequently, U.S. persons are not obligated to provide BOI concerning any such foreign entity for which they are beneficial owners. ​

Extended Deadlines for Foreign Entities: Foreign entities registered to do business in the U.S. before March 21, 2025, must file their initial BOI reports within 30 days from that date. Those registering on or after March 21, 2025, have 30 days from the effective date of their registration to file the required BOI reports. ​

This interim final rule is effective immediately upon its publication in the Federal Register. FinCEN is accepting public comments on this rule for 60 days following its publication and plans to issue a final rule later this year. ​

These changes aim to streamline BOI reporting requirements, reducing the compliance burden on U.S. companies and individuals while maintaining transparency for foreign entities operating within the United States.

Attention all LLCs, S-Corps, and C-Corps!!!

FinCEN announced this past week that it will not issue any fines or penalties or take any other enforcement actions against any companies based on any failure to file or update beneficial ownership information (BOI) reports pursuant to the Corporate Transparency Act by the current deadlines. No fines or penalties will be issued, and no enforcement actions will be taken, until a forthcoming interim final rule becomes effective and the new relevant due dates in the interim final rule have passed.

No later than March 21, 2025, FinCEN intends to issue an interim final rule that extends BOI reporting deadlines, recognizing the need to provide new guidance and clarity as quickly as possible, while ensuring that BOI that is highly useful to important national security, intelligence, and law enforcement activities is reported.

FinCEN also intends to solicit public comment on potential revisions to existing BOI reporting requirements. FinCEN will consider those comments as part of a notice of proposed rulemaking anticipated to be issued later this year to minimize burden on small businesses while ensuring that BOI is highly useful to important national security, intelligence, and law enforcement activities, as well to determine what, if any, modifications to the deadlines referenced here should be considered.

Corporate Transparency Act Reporting Requirements Back in Effect with Extended Reporting Deadline; FinCEN Announces Intention to Revise Reporting Rule

Following the February 18, 2025, decision by the U.S. District Court for the Eastern District of Texas in Smith, et al. v. U.S. Department of the Treasury, et al., 6:24-cv-00336, the Financial Crimes Enforcement Network (FinCEN) has announced that beneficial ownership information (BOI) reporting requirements under the Corporate Transparency Act are back in effect, with a new deadline of March 21, 2025 for most companies.

FinCEN has also announced that it will assess its options to further modify deadlines, while prioritizing reporting for those entities that pose the most significant national security risks. FinCEN intends to initiate a process this year to revise the BOI reporting rule to reduce burden for lower-risk entities, including many U.S. small businesses.
