Integrated General Counsel

Integrated General Counsel California business attorney. I partner with business owners to ensure that they have the proper pieces in place to operate on a solid legal foundation.

Integrated General Counsel assists business owners in two ways. We provide transactional services such as contract reviews, entity formation and dissolution, employment policies, and much more. These “routine” matters must be managed strategically to avoid problems down the road – and with nearly two decades of experience representing businesses in their legal matters, I am able to provide my busi

ness clients with the clear-minded and time-tested direction that they need. We also provide outsourced general counsel services for businesses and organizations that require regular legal and strategic guidance from a business attorney – but don’t have the workload to add a full-time lawyer to their payroll. My background as in-house counsel for an international corporation gives me the perspective and the ability to create solid legal foundations which allow California businesses to thrive. Please contact me today to discuss how Integrated General Counsel can provide the “legal piece of mind” that your business needs.

Most owners can spot a sales problem in a week, but legal drift is a little more insidious. It can get lost in unsigned statements of work, old vendor forms, outdated policies, overdue entity maintenance, missing contractor IP assignments, and brand assets listed in more than one place.

Our free report is built around those blind spots and gives owners a cleaner checklist for the next quarter.

A social media policy works best when it’s narrow, readable, and tied to real business risk.
Important items to include:

- Identify who may speak for the company.
- Ban sharing confidential business information.
- Cover logo use, workplace photos, and customer interactions.
- Address posting during work time or from company devices.
- Leave personal passwords and lawful off-duty activity alone.

Before your first employee goes on payroll, get these three documents in place: offer letter, employee handbook, and confidentiality/IP agreement.
Founders who hire fast without those basics are leaving themselves wide open to expensive litigation under California's extensive employment laws.

A founder breakup can wreck a healthy business faster than a weak quarter. When two friends launch with verbal promises, the real disputes show up later: Who owns the client list? Who can sign? Who gets paid first? What happens if one person leaves?

Write the operating terms while everyone still agrees. Ownership, voting rights, pay, exit rules, and IP belong on paper early in year one.

For California contractors, wage compliance now reaches the license itself. AB 1002 gives the attorney general a path to seek suspension, revocation, or denial of a contractor’s license for wage-related violations in certain cases. Review payroll flow, wage statements, local rate differences, and who inside the company handles wage claims. One payment issue can spill far past the jobsite.

Some founders spend weeks picking a business name and about five minutes checking whether they can safely build a brand around it. That order creates expensive rework. Before you print signage, launch packaging, or hand a designer the final logo, clear the name and map out who owns each brand asset. Contact IGC if you have questions about how to protect your business with trademarks or copyright.

A subpoena is a deadline with a file number.

Do this first:
- Read what it asks for.
- Calendar the response date.
- Preserve emails, texts, and files.
- Get it reviewed by a lawyer before anyone starts forwarding documents around or consulting AI, which
can impair your chances of preserving attorney-client privilege.

The fastest way to make a small problem larger is ad hoc internal scrambling. A clean response starts with a clean chain of custody.
