Last week, the Pennsylvania Superior Court upheld a jury verdict against Domino’s, LLC in a case where a delivery driver employed by its franchisee caused a car crash which resulted in the plaintiff having his leg amputated. The Fifth Circuit became the living embodiment of the two-button indecision meme this month as it waffled over whether small businesses would have to comply with the Corporate Transparency Act’s Beneficial Ownership Information reporting requirements. Small business owners can relax for a moment. As we posted on November 1, the deadline to report Beneficial Ownership Information was today. However, the Fifth Circuit issued an injunction on December 3 prohibiting FinCEN from enforcing penalties for failure to report. It then issued a stay on the injunction on December 23 but reinstated the injunction on December 26. There is no reporting requirement for now; although FinCEN is accepting voluntary reporting.
