I have had to help several clients with Quiet Title actions as people are buying and selling their homes during the summer season. I was asked to share information by some of my realtor friends about Quiet Title actions because very few homeowners are aware of this option.

A Quiet Title action is a legal proceeding to establish ownership of a piece of property and clear any disputes or "clouds" on the Title. This action is typically filed by a property owner when there are conflicting claims to ownership, unknown heirs, or other issues that prevent a clear title from being established. The purpose of a quiet title action is to eliminate any uncertainties about the ownership of the property and to ensure that the property can be transferred or sold without any legal challenges.

This follows our previous post on the K***z Conference and the insights shared by our founder, Myrenda R. Jones, particularly on the Lease Expiration and the Cessation of Production Clause (Tres C, LLC v Raker Resources).

As can be recalled, the case involved a dispute over whether an oil and gas lease had expired due to a cessation of production. The lease contained a cessation of production clause that provided that the lease would expire if production ceased for more than 90 days. However, the Oklahoma Supreme Court held that the trial court had erred in applying a strict 90-day accounting period to determine a cessation of production. The Supreme Court held that the proper accounting period is a reasonable time under the circumstances.

MRJ Law Founder, Myrenda R. Jones Attends K***z Conference, Shares Insights on Landmark Oil & Gas Lease Ruling

MRJ Law, PLLC founder, Myrenda R. Jones, recently attended the Eugene K***z Conference, a premier annual event for legal professionals specializing in natural resources law and policy. The K***z Conference was hosted by Oklahoma University (OU) Law.

“The K***z Conference was an invaluable opportunity to reconnect with colleagues in the industry, and learn about the latest developments in natural resources law and the oil and gas industry.” stated Myrenda. “The Tres C vs Raker Resources, LLC ruling was particularly noteworthy.”

Myrenda was referring to the panel discussion on “The Lease Expiration and Cessation of Production Clause” expertly presented by Joseph Scremmer, Associate Professor at OU. The discussion centered around the Tres C LLC v Raker Resources, LLC case ruling.

The Tres C ruling addressed the interpretation of a clause in an oil & gas lease regarding cessation of production. The Oklahoma Supreme Court ruled that the 90-day timeframe specified in the clause was not to be strictly adhered to, and instead, a “reasonable period” should be considered based on the specific circumstances.

As an attorney specializing in oil and gas contracts, Myrenda voiced concerns about the court's intervention in private agreements and the potential impact of this ruling on the certainty of oil & gas leases. “Operators rely on the terms of their leases for business planning,” said Jones. “This ruling introduces an element of uncertainty that could make it challenging for operators to make informed decisions.”

However, recognizing the permanence of the ruling, Myrenda pledged to assist oil and gas operators in navigating its implications. She recognized the potential benefits the ruling offers to operators facing production declines due to unforeseen circumstances. “Operators now have a degree of flexibility,” she explained. “This allows them to address technical issues or market fluctuations without jeopardizing their lease.”

To further clarify the ruling for Oklahoma operators, Myrenda outlined her key takeaways from the topic:

● Operators now have flexibility when faced with declines in production, provided there is a valid reason such as technical issues or market conditions and resume production without risking lease termination.

● The Tres C ruling clarifies that the provision for cessation of production in oil and gas leases is not meant to eliminate the temporary cessation of production doctrine. Instead, it aims to provide operators with a grace period to resume production following a halt.

“The Tres C ruling is significant for Oklahoma’s oil & gas industry,” stated Myrenda. “MRJ Law is committed to staying at the forefront of legal developments and providing our clients and the wider community with clear and understandable guidance to navigate this complex landscape.”
