There are two numbers from the CY 2025 Report that stood out:

-2 forced-divestment orders in 2025 - the second straight year CFIUS has used its most severe remedy, after a multi-year quiet stretch. Presidential prohibition orders are seemingly common-place now, which is critical for deals in sensitive sectors or engaging investors from historically high-risk jurisdictions.

-After CFIUS investigated 90 potential non-notified transactions and opened 62 official inquiries, 9 companies were formally required to file in 2025. This serves as a clear reminder: deciding not to file voluntarily is a risk decision, not a free pass.

CBP’s Customs Rulings Online Search System (CROSS) gives importers access to thousands of previously issued rulings that can provide valuable insight into how CBP has handled similar products and transactions.

Importers can also request their own binding ruling from CBP for their specific product(s).
