He said yes on the phone before anyone read the document.

$3M. A valuation he was proud of. A lead investor everyone wanted. The kind of term sheet founders screenshot and send to their group chat at midnight.

Then we read it.

Majority board control to the lead from day one. A full ratchet buried in the protective provisions, which meant one soft quarter and a down round would have taken most of his ownership with it. Six provisions in total that had nothing to do with the number on page one and everything to do with who actually ran the company after closing.

We went back to the table. Board composition rebalanced. Full ratchet replaced with broad based weighted average. Protective provisions narrowed to what the investor actually needed.

Three weeks later the round closed. Same $3M. Same investor. Founder still in control.

Valuation is the number founders negotiate. Control is the number that decides whether they are still there in five years.

The cap or discount wins, whichever gives the investor more shares. Every outstanding SAFE converts at the same time in a priced round. Pre-money vs post-money terms decide who absorbs the dilution. And your option pool gets sized before any of it, out of the founders' side of the table.
