What the investor's lawyer checks before the wire.

1. Your cap table. Every SAFE, note, option grant and handshake promise, reconciled to one number.
2. IP assignments. Signed by every founder, employee and contractor who touched the product.
3. Your filings. Good standing, formation docs, Form D and state notices for every prior raise.

If any of these is messy, diligence slows down, and slow diligence is where deals die.
