I am pleased to share this public service reminder that, pursuant to the federal Corporate Transparency Act, nearly every corporation and LLC, including professional corporations and LLCs, are required by federal law to file Beneficial Ownership Information (BOI) Reports with the FinCEN office of the US Treasury Department BY DECEMBER 31, 2024. This is not an IRS regulation.

If you are an individual who owns at least 25 percent of a company or has substantial control over the company, your identity is required to be reported.

The willful failure to report complete or updated beneficial ownership information to FinCEN, or the willful provision of or attempt to provide false or fraudulent beneficial ownership information, may result in civil or criminal penalties, including civil penalties of up to $500 for each day that the violation continues, or criminal penalties including imprisonment for up to two years and/or a fine of up to $10,000. Senior officers of an entity that fails to file a required BOI report may be held accountable for that failure.

I personally have not seen a similar post before, but if others have seen this, then I join the advisories. Just found a text message from overnight that referenced an unpaid highway toll. Did not seem possible with EZ pass in both of my vehicles. Had the good sense to scrutinize the link which I did not click. Scam indeed!

Before I clicked on it, I looked up how to pay unpaid tolls in NY. The real NYS website is tollsbymailny.com.

Please be careful. This one is so close I almost missed it.

I am proud to share that earlier this week, I secured for my client a significant package of economic benefits from the New Rochelle (Westchester County, NY) Industrial Development Agency for a multi-unit residential project my client is developing in the city. I was able to guide my client successfully to obtaining all three of the benefit categories that the IDA is empowered to confer: exemption from sales tax on construction materials and fixtures, exemption from mortgage recording tax on financing for the project, and a 10-year scaled partial abatement of property taxes in the form of a PILOT (Payment In Lieu of Taxes) arrangement. With this approval, my client will be able to finish the project and achieve a reasonable rate of return, while contributing much-needed new quality housing stock to the community.

I am privileged to share the news that, at the annual meeting of the New Rochelle Bar Association held on June 28, I was elected the next President of the Association. We will be using the summer months for transition and I (together with the other officers and new Directors) will assume the office officially at our installation dinner to be held in September.

In a situation such as this, we frequently hear in the acceptance speech that the celebrated person is "humbled" by the occasion. I, for one, would save being "humbled" for when one is taken down a notch (which surely has happened to me more than once in my lifetime). I rather consider this to be an elevating opportunity, and I am most appreciative of the confidence of my colleagues and friends who have elected me.
