Case Study: Purchase Disputes

Our clients purchased a local business for several million dollars, but the transaction documents were not lawyer-drafted and contained significant ambiguities. Following the purchase, our clients were confronted with unexpected liabilities that should have remained with the seller, as well as missing receivables they believed were included in the deal.

We conducted a detailed review of the documents and worked closely with our clients to prepare a comprehensive accounting of the discrepancies. From there, we developed a strategy aligned with the terms of the agreement and initiated the dispute process, including preparing an arbitration demand. After the seller retained counsel, the matter proceeded to mediation, where it was ultimately resolved in a way that allowed all parties to move forward. This matter reflects how, even when agreements are less than ideal, a thoughtful and strategic approach can help create a path toward resolution.
