Client Alert:

For those of you rushing to file your BOI compliance report, the U.S. Court of Appeals for the Fifth Circuit on Dec. 26, 2024, vacated the stay and reinstated the nationwide preliminary injunction enjoining enforcement of the Corporate Transparency Act (CTA) and its Reporting Rule, as well as impending reporting deadlines.
Therefore, as of this moment no filings under the CTA are required. However, given the on again, off again nature of the rulings we continue to recommend full compliance by the deadline. CBLG Client Alert: Important Notice for Clients Regarding the new FinCEN BOI Compliance Registration

We have an important update regarding the Beneficial Ownership Information (BOI) reporting requirement. FinCen mandates that most businesses must comply with this new registration requirement, and non-compliance can result in hefty fines.

What is BOI Reporting?

BOI reporting requires businesses to provide information about individuals who have significant control over or own 25% or more of almost every company - with a few being exempt. Lawyers: Law firms are not exempt.

Why is BOI Reporting Important?

Ensures compliance with this new federal regulation.
Helps in the fight against financial crimes and money laundering.
Avoids potential fines and legal issues.

Important Deadlines:

Existing Businesses: Must report their BOI information by January 1, 2025.
New Businesses: Must report within 30 days of formation starting from January 1, 2024.

The Supreme court this week limited the ability of class action plaintiff lawyers to bring claims where no real injury exists. The court found that in order to have Article III standing plaintiffs must still show both concreteness and particularization of their injuries to bring a claim - even where there is no question that a statute was violated. This decision is important and will likely to be cited by the defense bar to help stem the proliferation of these questionable injury class action claims.
