For those of you rushing to file your BOI compliance report, the U.S. Court of Appeals for the Fifth Circuit on Dec. 26, 2024, vacated the stay and reinstated the nationwide preliminary injunction enjoining enforcement of the Corporate Transparency Act (CTA) and its Reporting Rule, as well as impending reporting deadlines.
Therefore, as of this moment no filings under the CTA are required. However, given the on again, off again nature of the rulings we continue to recommend full compliance by the deadline. We have an important update regarding the Beneficial Ownership Information (BOI) reporting requirement. FinCen mandates that most businesses must comply with this new registration requirement, and non-compliance can result in hefty fines.

What is BOI Reporting?

BOI reporting requires businesses to provide information about individuals who have significant control over or own 25% or more of almost every company - with a few being exempt. Lawyers: Law firms are not exempt.

Important Deadlines:
