Meet our newest associate: Aiden Clarke 🤖

He’ll be working primarily on M&A deals under $5 million… just to be “safe” while he gets started.

So far, he’s been incredibly efficient, detail-oriented, and hasn’t asked about vacation time once.

Welcome to the team, Aiden.

You don’t need a full-time lawyer to run like a real company.

You need legal strategy that keeps contracts, hiring, vendors, payments, and disputes handled before small issues become EXPENSIVE distractions.

Outside General Counsel = ongoing legal support + business-minded guidance, without the in-house overhead.

✨A Simple Valentine’s Reminder✨
If you wouldn’t accept it in a relationship, don’t accept it in a business partnership.

Red flags in business partnerships you should avoid...
🚩 “We’ll figure it out later”
🚩 No written agreement
🚩 Unequal risk, equal promises

📩 DM us “AGREEMENT” if you’re partnering with someone this year and want to do it right.

Most businesses don’t intend to create legal risk.
They just grow faster than their contracts, systems, and protections and don't always catch them up.

If you’re scaling without reviewing:
• contracts
• hiring structures
• compliance basics

You’re rolling the dice...

Everyday we help businesses avoid legal risk with this exact issue. If your last "check" on these things was over a year ago, let's talk! Send us a DM.

Super Bowl teams don’t win just because they’re talented—they win because they know where the real advantage is and they protect it.

Here are 4 simple takeaways for your next deal:

1) The deal is won in the “boring” stuff.
Not the headline. Not the announcement. It’s won in the details: contracts, finances, debts, employee issues, and anything that could become a surprise later.

2) You have more power when you have OPTIONS.
In football, you win when the other team can’t predict your next move. In a business deal, you win when you’re not desperate: you have other buyers, other lenders, or you’re willing to walk away.

3) Buying a business is the easy part—RUNNING IT after is the hard part.
If you don’t have a clear plan for what happens the day after the deal, things get messy fast. The best deals have a “first 90 days” plan before anyone signs anything.

4) The real MVP is the person keeping the business stable.
During a deal, your job is to keep revenue coming in and customers happy—while everything else is changing behind the scenes.

Quick question: If you bought a competitor tomorrow… What would you fix first?

The #1 legal mistake we see small businesses make isn’t signing bad contracts—it’s waiting too long to get legal advice.

Most business owners don’t delay because they’re careless. They delay because:
• Everything seems “fine” for now
• They don’t want to overthink it
• They’re trying to be cost-conscious

By the time legal issues feel urgent, options are often limited—and more expensive.

The fix is simple: build legal check-ins into your business before problems arise. Even a short conversation can help you spot risks early and make smarter decisions with confidence.

If you’re building a business in Orange County, proactive legal strategy isn’t a luxury—it’s part of sustainable growth.

January is the best time to make sure your contracts still match how your business actually operates—not how it looked a year (or five) ago.

A short review now can prevent costly surprises later.

📩 If one of these stood out, let’s talk.

✨ Business Owners: What to Leave in 2025 (and What to Take Into 2026) ✨

🚫 Leave This in 2025:
• “We’ll deal with the legal stuff later”
• Copy-and-paste contracts from Google or a friend’s old deal
• Calling a lawyer only after a problem shows up
• Assuming a handshake or email thread is “good enough”

✅ Take This Into 2026:
• A proactive legal strategy that grows with your business
• Contracts that match how you actually operate (and protect you when things change)
• A trusted legal partner who knows your business—not just your emergencies
• Asking smart questions early so you’re not paying for cleanup later

Here’s the truth: strong legal strategy isn’t about being defensive—it’s about building with confidence.

If 2026 is the year you’re scaling, partnering, or acquiring, your legal foundation should be just as intentional as your growth plan.
