The Journal of Corporation Law is the nation's oldest student-published legal periodical specializing in corporate law. The Journal enjoys a large and influential audience worldwide. For example, the Journal currently is received by every accredited law school library in the United States, two-thirds of the one hundred largest law firms in the country, and approximately forty percent of the larges

We are excited to announce a new JCL Digital piece authored by Professor Robert T. Miller. His Article, titled "Delaware Law Requires Directors to Manage the Corporation for the Benefit of its Stockholders and the Absurdity of Denying It: Reflections on Professor Bainbridge’s Why We Should Keep Teaching Dodge v. Ford Motor Co.," responds to Professor Stephen M. Bainbridge's article, titled "Why We Should Keep Teaching Dodge v. Ford Motor Co."

Professor Miller is a highly respected academic in all things surrounding Delaware law, and his response provides the latest perspective on a foundational corporate law conundrum: are directors required to manage the corporation only to maximize long-term shareholder value, or may they direct value to other corporate constituencies even when doing may not (or does not) produce long-term net benefits for shareholders? Professor Bainbridge's article and Professor Miller's response are the latest installment in this lively debate that JCL has so often been host to.

The Journal of Corporation Law is immensely grateful for Professor Miller's continued support and contributions to our journal, as he has served as the Faculty Advisor to the journal for many years. This detailed response piece is a great addition to our corporate scholarship and is worth reading for anyone interested in the field of corporate law and corporate governance.
