At the beginning of the year, we notified our clients with corporations and LLCs of the effective date of new federal regulations issued by the Financial Crimes Enforcement Network (FinCEN) implementing the beneficial ownership information reporting requirements of the Corporate Transparency Act. These regulations require each entity registered with the Iowa Secretary of State to file a report identifying the entity’s beneficial owners. For entities formed before January 1, 2024, this report must be filed before January 1, 2025. The report requires each owner with at least a 25% ownership interest to provide their name, address, date of birth, and a copy of a current driver’s license or passport. If your company does not have at least a 25% owner, then a manager or principal person is required to file this report. The reports are filed on the reporting web page at www.fincen.gov/boi.

Please make sure you file this report before January 1, 2025. IF YOU WOULD LIKE OUR ASSISTANCE FILING THIS FORM, PLEASE PROVIDE US WITH THE PERTINENT INFORMATION AS SOON AS POSSIBLE and NO LATER THAN OCTOBER 15, 2024. Note that failure to file the report can result in civil penalties of up to $500 for each day the violation continues and criminal penalties of up to two years imprisonment and a fine of up to $10,000.

A final rule implementing the beneficial ownership information reporting requirements of the Corporate Transparency Act (CTA) was issued in September 2022. These regulations go into effect on January 1, 2024. Beneficial ownership information will not be accepted prior to January 1, 2024.
