When a company you're doing business with files for bankruptcy, your contracts don't simply vanish.

The debtor or bankruptcy trustee gains significant leverage, including the right to:

1️⃣ Assume the contract (keeping it in force while curing defaults and providing adequate assurance of future performance)

2️⃣ Reject the contract (treating it as a breach, releasing both parties from future obligations)

3️⃣ Assign assumed contracts to third parties

The debtor controls whether the contract continues, regardless of your preferences.

What can you do?

👉 Ask the debtor about its intentions to assume/reject the contract so that you make plans.

👉 Ask the bankruptcy court to compel the debtor or trustee to assume or reject the contract quickly.

👉 Pursue damages for breach of contract and payments owed under the contract.

👉 Contact a creditor’s rights attorney to help you analyze executory contracts, communicate with the debtor or trustee, and represent your interests in bankruptcy court.

But you only get one chance to get it right.

If you receive notification from the TMB that a complaint has been filed against you, an official investigation has been opened. You have 28 days (from the date of this letter) to respond. Your input is critical to the Board's evaluation.

What should be included in your response?

✅ A letter summarizing the allegations, stating the facts, and rebutting each allegation with a sound legal and/or medical argument, citing relevant facts and/or laws or Board rules; and

✅ Any records or documents you believe are relevant.

Your attorney can help you respond to all allegations and argue your side of the story, stating the facts of the case and citing relevant rules or regulations.

Additionally, your attorney can handle all communications and negotiations with the Board, including informal settlement conferences, administrative hearings, or appeals, as necessary.

Meet healthcare attorney Keith Lefkowitz.

"Helping people understand in their own language empowers them to make informed decisions. They feel like they're getting actionable advice, and they feel assured."

As a child, Keith considered a career in medicine – he even attended a pre-med conference in high school and spent a year volunteering at Texas Children's Hospital, keeping young patients company. In college, he found a different way to make an impact: studying political science and sociology, drawn to how the law shapes society. Healthcare law brought both interests together.

Keith's practice focuses on healthcare regulatory compliance, mergers and acquisitions for healthcare clients, and medical contracts and physician agreements. He also represents clients in government investigations, including matters before the Texas Medical Board and Texas Board of Nursing.

A magna cm laude graduate of the University of Houston, Keith earned his J.D. from the University of Houston Law Center.

Meet Lauren Koch.

"I love to help, and I see law as a way to assist people through tough times in their lives."

Lauren joined Hendershot Cowart as a legal assistant in May 2026, bringing more than seven years of legal experience to her role. Lauren's background includes work as a paralegal, intake specialist, and case manager – giving her a well-rounded view of how a case moves from first call to resolution, from coordinating with experts to keeping track of court deadlines.

Lauren is especially drawn to the firm's focus on healthcare law and the chance to support healthcare professionals working through complex legal matters. She holds a Bachelor of Arts in Criminal Justice and Victim Studies from Sam Houston State University and is fluent in American Sign Language. Outside the office, she's a mother of two who volunteers with her church's outreach ministry.

What are drag-along rights in a shareholder agreement?

Drag-along rights are contractual provisions – typically included in a shareholder agreement – that give majority shareholders the right to force minority shareholders to participate in the sale of a company. When a majority owner finds a buyer and decides to sell, drag-along rights allow that majority owner to “drag” minority owners into the deal, even if the minority owners would prefer not to sell.

If properly drafted, the minority shareholders who are dragged into a sale receive the same price and terms as the majority – they are not forced to accept inferior conditions. What they lose is the choice of whether to sell at all.
