The common assumption is you must keep a controlling stake in the foreign
company. That isn't true. 📊

Say you want to exit the overseas business gradually and you've found a buyer —
and the buyer wants control, because otherwise they won't buy. You sell 60% and
stay on with 40%. A minority share. Sounds fatal for an L-1.

It isn't, on one condition: **the two companies have to mirror each other.**

If that buyer also takes 60% of the US company, so the same shareholders hold
roughly the same amounts in both countries, it works. What you can't do is hold
100% of the US company and 40% of the foreign one.

The usual structure is still the simple one — your client owns both outright.
But control of the foreign company can be sold, provided the ownership structure
matches on both sides.

Whether you can transfer your own people depends on which L-1 they're on. ⚖️

**L-1B** — specialised knowledge workers. If they genuinely have experience you
can't hire for here, you have a better case.

**L-1A** — managers and executives. Here you hit real resistance, and the logic
is simple: anyone entering on an L-1A is supposed to manage other people.

Bring over three or four managers when you've only hired another three or four
people locally, and the response writes itself — these people aren't managing
anybody.

Charles's rule of thumb: a manager needs at least two subordinates to really be
a manager.

U.S. consulates worldwide have suspended all immigrant visa interviews. If your appointment was cancelled — or you are waiting for one — here is what happened, in the order it happened.

Charles Raether, managing partner at AmLaw Group, walks through the week: the global message sent to every U.S. consulate, clients cancelled an hour before their interview, the New York court ruling that struck down the blanket ban on immigrant visas for 75 countries, and the State Department announcement days later halting issuance of all immigrant visas — not only for those 75 countries. He also explains “public charge” and why retraining consular officers may focus on it.

A genuinely good question from a client with fifteen employees abroad. 🌍

Start on an L-1A and you don't need employees in the US on day one — but by the
end of that first year you need at least eight hired at the US company.

So: can you bring five of your own people over from Canada and count them
toward the eight?

**The theoretical answer is yes.** Nothing prohibits bringing people from your
overseas business and using that headcount to meet the requirement.

Two caveats worth hearing. In nearly 20 years of practice this firm has never
had that scenario, so nobody can tell you it's been done. And Charles suspects
USCIS would informally not look on it very favourably — not a written rule, just
an expectation of how these cases are meant to look.

The clincher on L-1 office space, and it catches almost everyone. 📐

USCIS looks at your business plan and how many people you intend to hire, then
checks the space matches the needs of the business. Fine so far.

Here's the part people miss: **they're not checking it's adequate today.** They
check it's big enough for a year from now, when you've hired those eight, nine
or ten employees and you're running at full steam.

Clients push back — I'm not hiring for six months, operations start at eight
months, I won't have eight people until month ten or eleven. The answer doesn't
change. If you want the approval, you need adequate space for all of them now,
even though you won't need it for another year.
