On January 7, 2025, the U.S. District Court for the Eastern District of Texas issued an order staying FinCEN’s BOI reporting requirements, which stopped enforcement of the CTA. On February 5, 2025, the U.S. DOJ filed a notice of appeal of the district court’s order and requested a stay of the order during the appeal.

On February 18, 2025, the court agreed to stay its January 7, 2025, order until the appeal is completed. Enforcement of the CTA and FinCEN BOI reporting requirements are once again in effect and companies formed before January 1, 2025 that have not yet filed will have until March 21, 2025 to do so.

On December 23, 2024, the United States Court of Appeals for the Fifth Circuit lifted a nationwide preliminary injunction halting enforcement of the Corporate Transparency Act (CTA) and the requirement for beneficial ownership information reporting.

However, on December 26, 2024, that order which lifted the preliminary injunction was vacated while the merits panel considers arguments from both parties. FinCEN reporting requirements and deadlines are no longer in effect and are currently on hold pending further decisions from the US Court of Appeals for the Fifth Circuit.

Non-Compete Agreement Ban Struck Down in Federal Court

Hon. Judge Ada Brown has made a pivotal ruling in Ryan LLC v. Federal Trade Commission, No. 3:24-CV-00986-E (N.D. Tex. 2024) that affects employment law across the United States. In her landmark decision, Judge Brown struck down the Federal Trade Commission’s (FTC) final rule intended to ban non-compete agreements in the workplace.

The court found that the FTC had overstepped its statutory authority by trying to impose a broad ban on non-compete agreements, deeming the rule "arbitrary and capricious" and "unreasonably overbroad."

As a result of this ruling, the FTC Rule, which was set to take effect on September 4, 2024, and would have required employers to inform current and former employees about the non-enforcement of non-compete agreements, has been invalidated. Consequently, employers are no longer required to provide such notifications.

This decision means that non-compete agreements will continue to be enforceable under the existing regulations, as they were before the FTC’s proposed rule. The impact of this ruling extends nationwide, affecting all employers and employees throughout the country.
